OVERVIEW & EXPERTISE

Mergers and transactions that exceed pre-merger notification thresholds require approval from the Canadian Competition Bureau (Bureau). As part of this process, the Bureau can issue a Supplementary Information Request (SIR) to collect additional information it believes relevant to its assessment of the transaction.

While an SIR is technically voluntary, the parties are prohibited from closing the transaction until 30 days after all parties have complied with the SIR. This can be an obstacle for a transaction timeline and could result in significant consequences for the parties involved.

Responding to an SIR is often a complex exercise and requires a team of specialized and experienced counsel. The Blakes Competition & Antitrust group is repeatedly acknowledged as the leading practice in Canada. As counsel to many of Canada’s and the world’s leading companies, Blakes has guided its clients to comply with numerous SIRs in connection with some of the most high-profile and complex mergers and transactions in Canadian history.

Through a combination of in-house solutions and e-discovery vendors, our team has the experience to protect our clients in responding to SIRs by identifying key documents for review by the Bureau and responding quickly to preserve the transaction timeline. Whether we are advising on a sensitive but straightforward file or a highly complex merger, Blakes works to respond to all SIRs as cost-effectively as possible. Blakes lawyers understand how competition laws fit within the broader context of complex corporate transactions and business affairs generally. The Firm's expertise and proven experience allow us to provide our clients with the timely, practical and strategic advice necessary to ensure compliance with competition laws while facilitating their transactions and assisting them in realizing their business objectives.
