Michael Kariya's practice focuses on a broad range of corporate and commercial transactions, including cross-border mergers and acquisitions, joint ventures, and general advisory matters.

Michael has particular expertise in the energy, mining, infrastructure, fintech, technology and defence sectors, and has spent time on secondment with an oil and gas supermajor.


Michael's experience includes acting for:

  • Reservoir Minerals on its US$135-million acquisition of an increased interest in the Timok coppergold project in Serbia via US$90-million equity raise and US$45-million credit facility, and its takeover by Nevsun through a share exchange and cash transaction valued at US$440-million
  • Keller Group on its C$320-million acquisition of North American Energy Partners' piling division, on a corporate reorganization of Keller Canada, and on various corporate and commercial advisory matters
  • Microgen plc on its acquisition of Primacy Corporation, a Toronto-based provider of software to the trust and fund administration market
  • QinetiQ Group on its acquisition of the Canadian subsidiaries of Meggitt Target Systems
  • AXIO Data Group (backed by Electra Partners) on its acquisition of Chipworks
  • Solway Group on a C$170-million purchase of the Fenix ferro-nickel project in Guatemala
  • Reservoir Minerals on the negotiation of a joint venture and shareholders agreement with Freeport-McMoRan Exploration Corporation to develop the Timok copper-gold project in Serbia., and on a further earn-in and joint venture with Rio Tinto in Serbia
  • A supermajor in structuring an oil sands joint venture in Canada with an international oil and gas company, in connection with its US$7-billion acquisition of certain assets including in Brazil, Azerbaijan and the Gulf of Mexico
  • A supermajor on a C$6-billion cross-border oil sands and refinery assets swap and joint venture transaction involving the client acquiring 50 per cent of an oil sands heavy-oil mining project in Canada and the divestiture by the client of 50 per cent of a U.S. refinery
  • CompactGTL, a private company pioneering modular gas to liquids technology, on commercial agreements with Petrobras, SBM Offshore, Sumitomo Corporation and other companies
