Pat's practice focuses on commercial and corporate transactions, with an emphasis on public offerings, private placements, joint ventures, and public company mergers and acquisitions. He has substantial experience acting for issuers and investment dealers and special committees in related-party transactions and independent valuations, and in domestic and cross-border debt, equity and project financings.

Pat also has considerable experience in acting for issuers and underwriters in connection with private and public debt and equity financings for entities undertaking projects in the Alberta oil sands.


Pat has played a lead counsel role in the following recent transactions:

  • UTS's successful 2009 defence in a hostile take-over bid by Total S.A., and the 2010 negotiated transaction pursuant to which Total acquired UTS for C$1.5-billion and Silverbirch Energy, a new oil sands entity, was spun out to UTS shareholders
  • Agrium Inc.'s acquisition of UAP for US$2.6-billion and related cross-border US$1.375-billion equity offering
  • Agrium Inc.'s US$530-million successful unsolicited bid for Royster-Clark income deposit securities
  • Nexen Inc.'s acquisition of EnCana Corporation's North Sea assets for US$2.1-billion
  • EnCana's acquisition of Tom Brown Inc. for US$3.1-billion
  • OPTI Canada Inc.'s C$701-million private placement and simultaneous C$300-million initial public offering of common shares
  • Canadian Occidental Petroleum Ltd. corporate divorce from Occidental Petroleum Corporation for C$1.2-billion
