Roger's practice focuses primarily on assisting with business development, operation and transactions between Chinese and Canadian companies and investors in oil and gas and industries. His related experience includes conducting corporate due diligence, including title review of subsurface mineral leases and drafting, negotiating and advising on agreements on purchase and sale of oil and gas and other commercial assets, shareholders agreements, tenancy agreements, oil and gas contracts, bidding agreements, master services agreements and joint venture contracts.

Roger also has more than 10 years of in-house counsel experience in Hong Kong and Beijing. Roger has advised clients on investment in, and development of, energy related projects in China and East Asia, including coal fired and gas fired power plant projects, and a liquefied natural gas (LNG) receiving terminal.

Roger is a native Mandarin speaker and has Chinese drafting ability.

SELECT EXPERIENCE

Recent representative matters include advising:

  • Various Canadian subsidiaries of China National Petroleum Corporation (CNPC) and China National Off-shore Oil Corporation (CNOOC) on their business incorporation, development and operations in Alberta.

  • A junior oil and gas company on its private placement of C$26-million from investors, including a Chinese listed company.

  • Various private Chinese investors and companies on their acquisitions of oil and gas assets and companies in Alberta.
