Alison's practice is primarily focused in the areas of securities, corporate finance and mergers and acquisitions. She has experience representing both private and publicly traded issuers as well as acting on behalf of underwriters and dealers in both private and public offerings of debt and equity securities, mergers and acquisitions. In addition, she regularly advises clients on continuous disclosure obligations, corporate governance requirements, and general corporate, securities and commercial matters.

Alison has also completed a secondment to one of the Firm's clients Pembina Pipeline Corporation, a major integrated energy transportation and infrastructure service provider with an enterprise value of more than $10-billion, where she worked closely with Pembina's upstream and midstream business units. Alison's work with Pembina included attending strategic business meetings with the different business units as well as drafting and negotiating corporate and commercial contracts including gas handling agreements, terminalling agreements and master buy/sell agreements.

Mergers, Acquisitions and Reorganizations

  • Novus Energy Inc. on its C$320-million acquisition by Yanchang Petroleum International Limited of China
  • Advising the special committee of a publicly traded limited partnership on a related party transaction regarding the internalization of management fees and subsequent corporate conversion
  • Pembina Pipeline Corporation on its C$3.2-billion acquisition of Provident Energy Ltd.
  • The Forzani Group Ltd. on its C$771-million acquisition by Canadian Tire Corporation Limited

Corporate Finance

  • Pembina Pipeline Corporation in connection with offerings of common shares, medium term notes, preferred shares and convertible debentures under its base shelf prospectus
  • The dealers on the offerings of an aggregate of C$500-million of medium term notes, and the underwriters on the C$460-million offering of common shares by AltaGas Ltd.
  • The underwriters on the C$300-million offering of common shares, and the dealers on the offerings of an aggregate of C$900-million of medium term notes by Inter Pipeline Ltd.
  • The underwriters on the C$285-million offering of common shares, and the dealers on the C$200-million offering of medium-term notes by Veresen Inc.
