Carlos has been practising corporate/commercial law with Blakes for over 15 years, including three years spent in the Firm's London, England, office and a further three years spent in our Gulf offices. His practice focuses on mergers and acquisitions, joint ventures, and project development transactions. Carlos acts for a number of public companies as well as large privately held entities providing strategic advice on transactions as well as legal input on day-to-day operations. He has extensive experience leading teams working with clients with operations in various jurisdictions with particular expertise assisting clients in mining and financial services.

SELECT EXPERIENCE

Carlos has been involved in a number of large, complex transactions including acting for:

  • CIT Financial on the sale of substantially all of its Canadian operations to Laurentian Bank for over C$1-billion
  • Anheuser-Busch InBev in connection with its US$417-million acquisition of Mike's Hard Lemonade brands and its C$180-million acquisition of Mill Street Brewery (having previously acted on an number of transformational transactions for the group, including the combination of Anheuser-Busch and InBev to create the world's largest brewer)
  • Dow Chemical in connection with its US$20-billion Sadara joint venture
  • CEB Inc. in connection with its public take-over of Wanted Technologies
  • Standard Life on the sale of substantially all of its Canadian operations to Manulife for C$4-billion
  • A foreign bank on the sale of its Canadian credit card portfolio for C$2-billion
  • Equinox Minerals in connection with its acquisition of Citadel Resource Groupv

  • A foreign bank in the sale of substantially all of its Canadian operations for C$8-billion
  • Element Financial on its acquisition of a financing portfolio from Alter Moneta
  • Lonmin plc in connection with its acquisition of Southern Platinum and AfriOre
  • Sumitomo Chemical in connection with its US$12-billion Petro Rabigh joint venture
  • Vivendi on its US$25-billion merger with Seagram and Canal+ to create Vivendi Universal
  • CIT Financial on the sale of its Dell financing business to Dell Financial
  • Moly Mines in connection with certain private placements and its listing on the Toronto Stock Exchange
  • Saudi Aramco on the creation of Wa'ed, one of the first SME private equity funds in the Gulf region
