Cal is Co-chair of the Competition, Antitrust & Foreign Investment Group. He began his professional career at Blakes in 1976, after he clerked for Justice Spence of the Supreme Court of Canada. He remained with Blakes specializing in antitrust litigation until 1986, when he was appointed to be the Director (since renamed "Commissioner") of the Competition Bureau in the Canadian government. He returned to private practice in 1990.

Cal's practice covers all aspects of Canadian competition law, including domestic and international mergers, abuse of dominance, cartels, civil reviewable matters and counselling on trade practices, as well as representation in foreign investment reviews under the Investment Canada Act.

SELECT EXPERIENCE

Most recently, Cal has represented:

  • Maple Group Acquisition Corporation, as co-counsel in connection with its acquisition of TMX Group Inc. in a transaction valued at C$3.7-billion
  • BHP Billiton PLC on its US$40-billion offer to acquire Potash Corporation of Saskatchewan
  • CTVglobemedia Inc. in connection with its acquisition by Bell Canada for C$3-billion
  • Merck & Co., Inc. on its US$41-billion merger with Schering-Plough Corporation
  • Nestlé S.A. in connection with the sale of a 52 per cent interest in Alcon, Inc. to Novartis A.G. for US$28.1-billion
  • Sinopec International Petroleum Exploration and Production Company in its acquisition of a 9.03 per cent stake in Syncrude Canada Ltd. from ConocoPhillips for US$4.65-billion
  • Yellow Media Inc. in connection with its acquisition of Canadian Phone Directories Holdings Inc. (Canpages) from an investor group led by private equity firm HM Capital Partners
  • Suncor Energy Inc.'s C$43-billion merger with Petro-Canada
  • CTVglobemedia Inc. in connection with its C$1.7-billion acquisition of CHUM Ltd.
