Dallas has acted as lead counsel on large, complex securities transactions and corporate reorganizations as well as significant resource-related acquisitions. He provides advice and legal services to entrepreneurial start-ups and venture capital investors. He also acts as counsel in public offerings and for bidders, target companies, independent directors, and financial advisers in take-over bids and going-private transactions.

A significant portion of Dallas's practice involves acting for oil and gas, pipeline, and mining companies in joint ventures, partnerships and strategic alliances regarding major greenfield and expansion projects.

Dallas regularly provides advice to Canadian resource and service companies expanding internationally and to foreign corporations acquiring and/or establishing a business in Canada.

Before a career in law, Dallas was an exploration geologist with a multinational oil company.


Dallas has acted as lead or senior counsel on numerous transactions. Some M&A examples include acting for:

  • Pembina Pipeline Corporation in its C$3.8-billion acquisition of Provident Energy Ltd., and a related C$1.5-billion bank financing

  • Pembina Pipeline Corporation in its US$650-million acquisition of the cross-border Vantage Pipeline from Riverstone Holdings and Mistral Midstream, and a related preferred share financing

  • Real Resources Inc. on its C$1.1-billion merger with TriStar Oil & Gas Ltd., followed by acting for TriStar on its C$3.5-billion merger with the Canadian oil and gas division of PetroBank Energy & Resources Ltd. to form PetroBakken Energy Ltd., and a related C$1.05-billion bank financing

  • Canadian Hydro Developers Inc. in defence of the C$1.6-billion hostile take-over by TransAlta Corp.

  • Manalta Coal Ltd. in the defence of the C$590-million hostile take-over of Manalta Coal by Luscar Coal

  • Baccalieu Energy Inc. on its C$236-million sale to China Oil and Gas Group Ltd., a Hong Kong-listed natural-gas distributor

Dallas has acted as lead or senior counsel on numerous upstream and midstream acquisitions/dispositions and greenfield projects. Some examples include:

  • Pembina Gas Services L.P. on its acquisition of the Cutbank complex midstream natural gas gathering and processing facilities from Talisman Energy Canada for C$300-million.

  • Acquisition of the Federated Pipeline System by Pembina Pipeline Corporation from a Canadian subsidiary of a multinational oil company and Home Oil Company Limited (price not disclosed), followed by the construction and/or acquisition of related pipeline extensions and terminaling facilities.

  • Joint venture acquisition of British Gas' Ontario onshore and Lake Erie offshore natural gas interests by Pembina Resources Limited and several life insurance companies and the subsequent sale by Loram Corporation to Talisman Energy Inc. of Pembina Resources (including the Ontario natural gas interests and approximately 10,000 bopd production in Western Canada).

  • Pembina Pipeline's acquisition from NOVA Chemicals of a 50 per cent joint venture interest in Dow Chemical's Fort Saskatchewan ethylene storage facilities, and the subsequent washing of additional hydrocarbon storage caverns.

  • Acquisition of the Alberta oil sands pipeline (Syncrude) by Pembina Pipeline Corporation from AEC Pipelines (Cold Lake) Ltd. and the construction of a synthetic crude oil pipeline from Fort McMurray, Alberta, to Edmonton, Alberta, for Canadian Natural Resources Ltd.'s Horizon project, which required the twinning of the existing Alberta oil sands pipeline (which provides transportation services to the Syncrude oil sands project).
