John provides corporate and securities advice to both non-Canadian and Canadian clients conducting business in Canada and acts as a liaison for U.S.-based clients. His practice focuses primarily on Canadian cross-border M&A and corporate finance transactions involving companies in a wide range of industries. Since being resident in the U.S., John's practice has focused principally on advising U.S.-based clients on cross-border transactions and other matters touching Canada, including numerous greenfield expansions by U.S. companies into Canada.

John has advised corporations, investment banks, private equity firms and investment funds on M&A transactions, a broad range of public and private equity and debt financing transactions, as well as other forms of investment, both within Canada and cross-border.

John is the Managing Partner of the Chicago office and one of the partners responsible for the Firm's U.S. initiative. He has previously practised in the Firm's offices in Toronto and London.

SELECT EXPERIENCE

Representative cross-border matters on which John has advised include:

  • Argon Medical Devices (a RoundTable Healthcare Partners portfolio company) on its acquisition of Angiotech Pharmaceutical's biopsy/interventional business
  • Redbox Automated Retail on its expansion into Canada
  • Friedman, Fleischer & Lowe and its portfolio companies on multiple cross-border M&A transactions, including its agreed public offer for Loring Ward International
  • H.I.G. Capital and its portfolio companies on multiple cross-border M&A transactions and other matters, including its acquisition of the Canadian aluminum extrusions business of Tredegar Corporation and its acquisition and subsequent sale of various subsidiaries comprising the Secure Products International Group of MDC Partners Inc.
  • The underwriting syndicate on NovaBay Pharmaceuticals' U.S./Canadian cross-border initial public offering and dual listing
  • Symphony Technology Group on its agreed public offer for Hummingbird Ltd.
  • Vedanta Resources plc on numerous cross-border investments and transactions, including its take-over bid for Sterlite Gold Ltd. and subsequent sale of its controlling interest to GeoProMining Ltd. and its acquisition of a controlling interest in Konkola Copper Mines
  • Descartes Systems Group on numerous cross-border matters, including its acquisition of Global Freight Exchange Limited and on its acquisitions of TranSettlements, Inc. and Centricity, Inc.
  • The underwriting syndicate on YM BioSciences' U.K./Canadian cross-border initial public offering and dual AIM-TSX listing
  • The underwriting syndicate (led by Lehman Brothers and Merrill Lynch) on a C$1-billion equity financing for Research In Motion (RIM)
