Jay advises clients on a wide variety of real property matters, including purchase and sale transactions involving office, industrial and retail properties, mortgage financing, ground and office leasing, and development and planning matters. He acts for a broad range of clients, including renewable energy companies, financial institutions, pension funds, life insurance companies and other institutional developers, lenders and investors.

Jay also works closely with other practice areas within the Firm to provide real estate advice relating to complex commercial transactions, including conventional and renewable energy infrastructure, project and other financing and share and asset purchase transactions.

Purchase and Sale Transactions:

  • Advising Agrium Inc. on real property matters arising in connection with its C$1.8-billion supported funding of Glencore International plc's C$6.1-billion acquisition of Viterra Inc., and the subsequent acquisition by Agrium of Viterra's wholesale and retail Agri-products division

  • Acting for I.G. Investment Management, Ltd. as trustee for Investors Real Property Fund in connection with its C$140-million acquisition of the Plains Midstream Plaza in Calgary, Alberta

  • Acting for BPO (ALTC) Ltd., ALTCEN (MCEG) Ltd. and CREHOY Inc. in connection with their C$179.8-million sale of the Altius Centre
  • Acting for a renewable energy company on its purchases of multiple wind farm projects in Alberta

  • Advising a major utility company on its purchase of two electrical generation facilities in Alberta

Project Development and Leasing:

  • Advising a major pipeline company on complex ground lease, subdivision and related development requirements in connection with the development of a major energy infrastructure project
  • Negotiating a long-term solar farm ground lease in Ontario on behalf of a renewable energy company
  • Advising SilverBirch Energy Corporation on leasing matters relating to Teck Resources Ltd.'s C$440-million acquisition

Financing Transactions:

  • Acting for Brookfield Office Properties Canada (through its subsidiaries) in connection with its C$575 million term credit facility to be used for the construction of Phase I (East Tower) of the Brookfield Place Calgary development in Calgary, Alberta

  • Acting for SEC LP (a subsidiary of Brookfield Office Properties Canada) and Arci Ltd. in connection with their C$550-million senior secured bond financing of the Suncor Energy Centre in Calgary, Alberta

  • nActing for The Standard Life Assurance Company of Canada in connection with its C$154,000,000 first mortgage financing of a one-third undivided co-ownership interest in Eighth Avenue Place - Phase I

  • Advising BluEarth Renewables Inc. (through its subsidiaries) on its C$71-million project financing in respect of its Bull Creek wind project
  • Advising a lender syndicate with respect to real property security matters relating to a C$3.5-billion syndicated credit facility to North West Redwater Partnership to fund a portion of the costs of construction of its refinery in Sturgeon County, Alberta
