Jason regularly provides strategic advice to domestic and foreign firms involved in merger and joint venture transactions, including providing risk assessments and navigating reviews through the Canadian Competition Bureau. He also provides advice in respect of strategic alliances, unilateral conduct, cartel investigations and compliance matters. Jason has been involved in the negotiation of complex remedies and orders with the Competition Bureau and before the Competition Tribunal in the context of both mergers and cartel investigations. Jason also advises clients with respect to misleading advertising and unfair competition practices.

Jason advises foreign purchasers and Canadian vendors under the Investment Canada Act (ICA) and represents clients before the Investment Review Division of Industry Canada and the Cultural Sector Investment Review branch of Canadian Heritage. He has negotiated undertakings in a wide range of industries to secure "net benefit to Canada" determinations, the standard necessary for reviewable investments to be completed under the ICA.

Before joining Blakes, Jason practised in the Brussels office of a leading international law firm.

  • Zodiac Aerospace on its US$7.7-billion acquisition by Safran

  • Syngenta AG in Canada on its US$43-billion indirect acquisiton by an affiliate of ChemChina

  • Bass Pro Group on its US$5.5-billion acquisition of Cabela's

  • Jarden Corp. on its US$15.4-billion acquisition by Newell Rubbermaid Inc.

  • Anheuser-Busch InBev SA/NV in connection with its approximately £71.6-billion acquisition of SABMiller plc and in connection with the US$12-billion on-sale of the Miller Brands business to Molson Coors

  • Imperial Oil Limited on its divestment of 497 Esso retail gas stations for C$2.8-billion

  • Suncor Energy Inc. in its C$6.6-billion acquisition of Canadian Oil Sands Limited

  • Foster Wheeler AG on its US$3.2-billion acquisition by AMEC

  • Marine Harvest ASA in its acquisition of a significant minority interest in Grieg Seafood ASA

  • Continental AG in its proposed US$1.9-billion acquisition of Veyance Technologies Inc.

  • Nexen Inc. on its C$15.1-billion acquisition by CNOOC Limited

  • Anheuser-Busch InBev SA/NV in its US$20.1-billion acquisition of the remaining stake in Grupo Modelo, S.A.B. de C.V.

  • Continental Airlines on its US$6.2-billion merger with United Airlines and United Continental on its proposed transborder joint venture with Air Canada (including litigation before the Competition Tribunal)

  • Daylight Energy Ltd. on its C$2.2-billion acquisition by Sinopec Group

  • Sinopec International Petroleum Exploration and Production Company on its acquisition of a 9.03 per cent stake in Syncrude Canada Ltd. from ConocoPhillips for US$4.65-billion

  • Suncor Energy Inc. in connection with its C$43.3-billion merger with Petro-Canada
