Jennifer focuses on representing clients in a wide variety of business law matters, including mergers and acquisitions, public and private financings, and securities regulatory matters. She acts for domestic and international issuers and underwriters in public offerings of debt and equity, including initial public offerings, secondary issuances and cross-listings on the Toronto Stock Exchange (TSX) and the TSX Venture Exchange (TSX-V). She also advises public issuers with respect to compensation, governance and disclosure matters.

Jennifer has experience in a diverse range of industries, including mining, energy, financial services and technology.

Jennifer initially practised in the Toronto office in Corporate & Commercial and Capital Markets. From 2006 to 2009, she practised at a Magic Circle firm in London, UK, providing capital markets advice to issuers (corporate and sovereign) and underwriters. In 2009, she rejoined Blakes in its London office and became a partner in 2015.


Recent representative matters include advising:

  • Reservoir Minerals on its US$135-million acquisition of an increased interest in the Timok copper gold project in Serbia and its acquisition by Nevsun to create a US$1.1-billion company

  • TSX-V listed SDX Energy on its business combination with Madison PetroGas and subsequent financings
  • Diacore, the lender on a US$15-million and ZAR 16-million bridge loan to TSX listed Rockwell Diamonds to fund the acquisition of the Remhoogte/Holsloot Project in South Africa

  • LSE listed Matomy Media Group on its acquisition of a majority stake in Avenlo, a Canadian digital marketing services provider

  • TSX listed Chalice Gold Mines on the acquisition and sale of the Cameron Gold Project in Ontario
  • ASX listed Toro Energy on the acquisition from the Sentient Group of debt- and equity-based interests in TSX listed uranium explorer Strateco Resources

  • TSX-V listed Afferro Mining on its agreed take-over by International Mining and Infrastructure Corporation, valued at US$200-million

  • Maudore Minerals on its acquisition of the Quebec gold assets of North American Palladium and concurrent senior secured debt financing and subsequent equity private placement

  • Solway Investment Group on its US$170-million acquisition of the Fenix ferro-nickel project from HudBay Minerals

  • Afferro Mining on its sale of a joint venture interest in a Liberian iron mine for US$115-million

  • Oranje-Nassau Energie on its C$102-million take-over of TSX-V listed Cirrus Energy

  • Initial public offerings, secondary listings, public financings and/or corporate governance advice for various TSX and TSX-V issuers, including GB Minerals, Perseus Mining, Frontier Rare Earths, Chalice Gold Mines, Moly Mines and Bannerman Resources
