Keith's practice encompasses a diverse range of commercial matters in the energy and natural resources industries.

Keith advises on domestic acquisitions and divestures, including in the context of foreign investment by international exploration and production companies, state-controlled entities and private equity firms, as well as in the context of insolvency and restructuring. He has acted for many Canadian-based companies with assets in various international jurisdictions advising on the procurement of assets from governmental agencies, commercial matters related to debt and equity financing, farm-ins and mergers.

Keith has been counsel on the structure and negotiation of numerous joint venture and partnership arrangements in respect of upstream and midstream oil and gas assets and power generation and transmission, both domestically and internationally. He also has a broad range of experience with the processing and sale of natural gas liquids.

In addition, Keith has counselled owners as well as construction, design and energy service providers on the procurement and provision of design, build and management services on projects and infrastructure in the oil field sector and on retail and office construction projects.

SELECT EXPERIENCE

Recent representative matters include acting as counsel to:

  • Suncor Energy Inc. on its agreement to acquire Murphy Oil Company's interest in the Syncrude oil sands joint venture for approximately C$937-million
  • Kinder Morgan Canada Inc. on its joint venture with Keyera Corp. to build Base Line Terminal, a crude oil storage terminal located at Keyera's Alberta Enviro Fuels facility in Sherwood Park, Alberta, together with associated arrangements including numerous long-term storage agreements, land use and access agreements, various interconnection agreements, and EPC agreements
  • Kinder Morgan Canada Inc. on its joint venture with a major exploration and production company to build and operate a crude oil rail loading facility located south of the existing Kinder Morgan Edmonton terminal in Sherwood Park, Alberta, together with associated arrangements including long-term take-or-pay anchor tenant agreements, various interconnection agreements, and contract operating and service agreements

  • A major international oil and gas producer in respect of the supply of power and stream services to a midstream facility from a jointly owned natural gas fired cogeneration facility
  • A consortium of major exploration and production companies on their collective engagement of services to provide for emergency response planning and preparedness to comply with legislative and policy directives targeting the transportation of crude by rail
  • Kinder Morgan Canada Inc. on its joint venture with Keyera Corp. to build Alberta Crude Terminal, a crude oil rail loading facility located in Edmonton, Alberta
  • BluEarth Renewables Inc. on long-term, structured electricity off-take arrangements with a consortium of Alberta school districts in support of the financing and development of its Bull Creek wind-power generation facility in Provost, Alberta, together with associated arrangements including agency and designated self-retailer services
  • A Canadian based exploration and production company with respect to the acquisition of concessions in Egypt together with associated arrangements with co-owners and governmental approvals of assignments and renewals
  • The Canadian arm of a U.S.-based drilling services provider in respect of the special order of three customized drilling rigs by the Canadian arm of a major international oil and gas producer
  • ENMAX Corporation on commercial matters relating to the development of its Shepard Energy Centre, an 800 MW natural-gas-fired, combined-cycle, electricity generation facility in Calgary, Alberta
  • A consortium of Canadian private equity investors on their bid to acquire AltaLink, as owner and operator of the majority of Alberta's electricity transmission system, from SNC-Lavalin
  • Japan's Toyota Tsusho Corporation on its C$602-million CBM acquisition and joint development arrangement with Encana
