Nav practices corporate and securities law with a primary focus in the areas of mergers and acquisitions, corporate finance, corporate governance and continuous disclosure compliance.

Nav has experience in representing both private companies and publicly traded issuers listed on the Toronto Stock Exchange, the New York Stock Exchange and the TSX Venture Exchange. He has also been involved in a number of domestic and cross-border M&A transactions, as well as in both public and private offerings of equity and debt.

Corporate Finance

  • TransCanada Corporation on its C$4.4-billion offering of subscription receipts in connection with the acquisition of Columbia Pipeline Group Inc. (the largest bought deal offering in Canadian history).

  • Suncor Energy Inc. on its C$2.8-billion cross-border offering of common shares where a portion of the proceeds was used to finance the acquisition of an additional 5-percent interest in the Syncrude oil sands joint venture.

  • The underwriters in connection with the C$920-million offering of subscription receipts by Veresen Inc. to partially fund the acquisition by Veresen, through an indirect wholly owned subsidiary, of the 50 percent convertible preferred interest owned by Global Infrastructure Partners in the Ruby pipeline system.

  • The underwriters in connection with the C$300-million offering of common shares by AltaGas Ltd.

  • Prairie Storm Energy Corp. and its C$400-million equity financing commitment by Natural Gas Partners.

  • Trican Well Service Ltd. on its C$69-million bought deal offering of common shares.

  • Various issuers and underwriters in private placement financings from both debt and equity.

  • Agrium Inc. on its proposed US$38-billion merger of equals with Potash Corporation of Saskatchewan Inc.

  • Suncor Energy Inc. on its unsolicited C$6.6-billion take-over bid and subsequent negotiated acquisition of Canadian Oil Sands Limited.

  • Arcan Resources Ltd. in connection with its C$171.25-million debt for equity exchange, and subsequent C$300-million acquisition by Aspenleaf Energy Ltd.

  • A TSX issuer in its acquisition of an oilfield services provider for C$185-million pursuant to a plan of arrangement.

  • A TSXV issuer in its acquisition of an oilfield services provider for C$236-million pursuant to a plan of arrangement.

  • TSX issuer in its $180-million acquisition of eight different business units from a private company.

  • A TSXV issuer in a C$115-million plan of arrangement of common shares and subscription receipts involving an oil and gas issuer completing a reclassification of a listed security and spin-out transaction.
