Yannick Beaudoin is a Partner practising in the Financial Services, Structured Finance and Real Estate Groups. In addition to his core practice, he also practises in the Infrastructure Group of the Firm. Yannick is committed to providing clients with timely, high-quality service, and strives to provide practical, effective advice to help achieve the client's goal.

Yannick is ranked as an "up and coming" banking and finance lawyer by Chambers Global: The World’s Leading Lawyers for Business and was cited for his noteworthy skills and "'outstandingly personable service that sets him apart'." He was also voted by peers as one of the leading equipment finance lawyers in Canada in the latest edition of The Best Lawyers in Canada.

In financial-services-related matters, Yannick acts for banks, financial institutions, asset-based lenders and borrowers, in revolving or term financing, and in secured or unsecured, syndicated, debtor-in-possession and commercial lending, equipment and project financing transactions. He frequently advises clients on a wide range of issues relating to all aspects of this type of business transaction, whether at a local, national or international level, including:

  • Structuring and documenting credit facilities and transactions with multiple or single lenders
  • Assisting foreign parties and their respective counsels with the Canadian and Quebec aspects of financings

  • Granting of security on incorporeal (intangible) property and conflict of law issues relating thereto

  • Various advice respecting regulatory matters
  • Drafting of standard form loan, disclosure and security documentation for consumer or commercial lending
Yannick acts for consortiums and lenders in connection with infrastructure or energy-related projects. In infrastructure-related projects, he is involved in syndicated structures, structures using complex derivative solutions, and public or private bond offering structures. He advises lenders to consortiums in connection with their participation in the financing for the design, construction, operation and maintenance of various projects in Canada (some of the transactions on which he was involved won the Silver Award of the Canadian Council for Public-Private Partnerships, as well as the North American PPP Deal of the Year Award from Project Finance Magazine).

In particular, Yannick has worked on or is currently involved in the following matters:

  • Advising one of the qualified bidders in connection with the design-build finance of the Markham Stouffville Hospital in Markham, Ontario
  • Advising the qualified bidders in connection with the design, construction, finance, operation and maintenance of the Hospital Centre of the University of Montreal (CHUM)
  • Advised one of the qualified bidders in connection with the design, construction and financing of the Route 1 Gateway project in New Brunswick
  • Advising one of the qualified bidders in connection with the design, construction, operation and maintenance of the McGill University Health Centre (MUHC) Glen Campus
  • Advised the selected consortium in connection with the design, construction, operation and maintenance of the Research Centre of the University of Montreal Hospital Centre (CRCHUM)
  • Advised the Agence des partenariats public-privé du Québec in connection with the design, construction, operation and maintenance of a new concert hall for the Orchestre symphonique de Montréal (OSM)
  • Advised the underwriter in connection with the proposed financing, by way of private placement, of the construction of a new building for a Quebec university
  • Advised one of the qualified bidders in connection with the design, construction, financing, operation and maintenance (soft services) of a long-term care facility in St-Lambert
  • Advised the lenders to a consortium in connection with the financing of a public-private partnership for the design, construction, financing and operation of the A30 Highway located in the province of Quebec
  • Advised the lenders to the successful bidding consortium on the design, construction, financing and operation of the A25 Highway located in the province of Quebec
In structured-finance-related matters, Yannick is involved in securitization programs of every significant asset class involving Quebec assets, including trade, credit card and other retail receivables, lease or instalment receivables (such as automobile receivables), as well as commercial loans, and commercial and residential real estate loans. He regularly acts for, or opposite, conduit loan originators in closing and documenting loans to be securitized (whether whole loans, pari passu or A/B (or A/B/C) loan structure), as well as servicers in connection with their various functions and duties during the terms of the program. He frequently advises clients on a wide range of issues relating to securitization, including:

  • Special purposes entities and limited purposes entities
  • True sale, bankruptcy remoteness and non-consolidation opinions
  • Description of the property included in a universality
  • Registration issues relating to assignment and security
In real estate related matters, Yannick's expertise covers all aspects of real estate transactions, including the financing (whether mezzanine, bridge, construction or term financing), acquisitions and dispositions of property, development, leasing and management, advising both developers and investors. He helps clients involved in energy projects establish their program in Quebec, assisting them in developing their process and template agreements to helping them obtain the various permits and licences required for their operation. He also regularly advises clients, in particular, on the following issues:

  • Various corporate and other entities used in Quebec to hold real estate, as well as the benefits and inconveniences relating thereto
  • Prepayment rights and the various structures used in Quebec to comply with the provisions of the Interest Act (Canada)
  • The use of a nominee in Quebec
  • Special purposes entities and limited purposes entities
  • Non-recourse loans and other limitation of recourse provisions
  • Multiple lenders in a real estate financing and the granting of security
  • The granting of security on incorporeal (intangible) property related to the real property and the conflict of law issues relating thereto
