As the regulatory landscape continues to change, Blakes takes pride in being at the forefront of advice on issues relating to corporate governance.

The Blakes team comprises lawyers with extensive experience in a wide range of areas concerning corporate governance matters, including public company, securities, director and officer liability and corporate litigation issues.

The Firm's clients benefit from our understanding of the requirements of corporate governance regulation, legislation and best practices. We advise our clients on the implementation of particular compliance programs on an ongoing basis. Blakes also assists public companies to comply with applicable regulatory reporting and disclosure requirements and restrictions. Our lawyers regularly serve as special counsel to boards of directors and many sit on committees of boards of directors where independent counsel is necessary. We also assist clients with internal investigations to ensure continuing compliance with applicable laws, and in response to government investigations and proceedings.

Our commitment to the development of a superior corporate governance practice was one of the reasons why we were retained as lead project counsel to the Ontario Securities Commission in connection with its extensive reformulation of policy statements as "rules" or "policies". This retainer has provided our corporate lawyers with a unique vantage point and opportunity to develop in-depth knowledge of a vast number of recently adopted securities rules and policies. This perspective has proven to be invaluable to many of our clients who have been affected by the initial application of these new laws.

Several members of the Firm lecture on corporate governance and have made numerous presentations on the subject to industry and other associations. We are very active in dealing with the increasing profile of corporate governance issues in North America, particularly in light of the constantly changing rules and practices of corporate governance.

In a similar context, we have recently assisted the Toronto Stock Exchange with its survey of corporate governance disclosure practices and in the reformulation of its rules relating to listed company corporate finance, executive compensation plans and other capital transactions. The Firm is also represented on the Securities Advisory Committee of the Ontario Securities Commission.
