Lindsay's practice focuses on all aspects of pension, employee benefit and executive compensation plans. Lindsay advises clients on regulatory compliance as well as the taxation, design, administration, governance and termination of these arrangements.

Lindsay has experience advising clients on the risks and complex issues that arise in connection with corporate transactions, plan mergers and plan wind-ups. She also has experience advising on plan administration issues such as the division of pension assets on marriage breakdown, beneficiary designation disputes, pension fund investment, and the negotiation of third-party service agreements.

Lindsay spent time at a top-tier global firm in the U.K. where she advised multi-national employers and pension plan trustees on a variety of matters including automatic enrolment, funding negotiations and global transactions.

Recent representative transactions include advising:

  • Digital Colony Partners and EQT Infrastructure IV Fund in connection with their consortium’s US$14.3-billion agreement to acquire, recapitalize and take private Zayo Group Holdings, Inc.

  • Carillion Canada Inc. in connection with the sale of its services business (including relating to facilities management of airports, commercial and retail properties, defense facilities and select hospitals) to an affiliate of Fairfax Financial Holdings

  • PHI, Inc. in connection with its acquisition, with Don Wall, of HNZ Group Inc. in a transaction valued at C$240-million

  • Lavazza S.p.A. on its acquisition of Kicking Horse Coffee Co. Ltd.

  • Mueller Water Products on various strategic cross-border acquisitions and divestitures

  • Just Eat plc, the world's leading online takeaway order company, on its acquisition of SkipTheDishes Restaurant Services

  • Canada Bread Company, Limited on its acquisition of Stonemill Bakery

  • Catalent Pharma Solutions Ltd. on its acquisition of Accucaps Industries Ltd. from Apotex Holdings Inc.
