Michael's practice focuses on mergers and acquisitions, divestitures, private equity investments and corporate reorganizations. He has assisted domestic and international clients in a wide range of industries, including agribusiness, food production and distribution, construction, transportation, consumer goods, information technology, real estate and retail. Michael often acts for private, family-owned companies on transition planning, including dispositions, minority or majority third party investments and reorganizations. Michael also has extensive experience advising foreign companies on establishing and structuring their Canadian operations.

Michael is one of the Co-Chairs of the Firm's Food, Beverage & Agribusiness Group, and regularly acts for food and beverage companies on acquisitions, dispositions and general commercial matters.


Michael's representative transactions include advising:

  • Brewster Inc. (an affiliate of Viad Corp) on its acquisition of FlyOver Canada
  • Ram Forest Group on the sale of its pressure treated lumber business to Stella-Jones Inc.
  • Pearson plc on the sale of its PowerSchool business to Vista Equity Partners
  • Arbor Investments on its purchase of PBF Pita Bread Factory
  • Snyder's-Lance on its sale of its private brands division to Shearer's Foods LLC
  • Niagara Tools on its sale to Apex Tool Group, a subsidiary of Bain Capital
  • UView Ultraviolet Systems on the sale of its aftermarket automotive tools and equipment business to CPS Products, a portfolio company of Harbour Group
  • A group of foreign investors on the sale of Sun-N-Fun RV Resort, Sherkston Shores RV Resort, and an interest in Tropical Palms RV Resort to National RV Communities LLC
  • Maple Leaf Foods on the sale of its frozen potato business to Cavendish Farms
  • Barry Callebaut on the purchase of Batory Foods' manufacturing plant in Chatham, Ontario
  • EllisDon on its acquisitions of The Looby Group and The PME Group of Companies, as well as certain other transactions
  • Calyx Transportation Group Inc. on the sale of a majority interest to Wynnchurch Capital, as well as Calyx's subsequent acquisition and disposition of certain operating entities
  • Tarasoft Corporation on its sale to CoreLogix
  • Pineridge Bakery on its purchase of Gourmet Baker Inc. and Oakrun Farm Bakery Inc.
  • Office Depot's disposition of its Canadian business solutions division to AxiSource
