Michelle's practice focuses primarily on debt financing transactions, acting for both lenders and borrowers in domestic and international financing transactions. She has considerable experience in structuring and documenting bilateral and syndicated loans, project financings, acquisition financings, asset-based financings, high-yield offerings, and subordinated debt arrangements.

Michelle has advised clients across a wide range of industries and sectors, including agriculture, automotive, financial services, food services, mining, retail, technology, and telecommunications. She also has significant expertise with the lobbying legislation in Canada and has advised many clients on matters related to such legislation.


Recent representative transactions include advising:

  • A manufacturing company in connection with a senior credit facility and a subordinated notes offering

  • A marketing and manufacturer of various foods in connection with a US$1.75-billion unsecured revolving credit facility

  • The Bank of Nova Scotia, as agent, in connection with a US$1.2-billion credit facility provided to Teck Resources Limited

  • A syndicate of lenders in connection with a US$3.0-billion credit facility provided to a mining company

  • IAMGold Corporation on its US$250-million syndicated credit facility provided by a group of lenders led by National Bank of Canada

  • Bank of Tokyo-Mitsubishi UFJ (Canada) in connection with a number of letter of credit facilities in favour of Canadian mining companies

  • The Bank of Nova Scotia in connection with senior secured credit facilities in favour of Tahoe Resources Inc.

  • Highline Produce Limited in connection with revolving and term credit facilities in its favour by The Toronto-Dominion Bank, as lender

  • GE Canada Finance Holding Company and a syndicate of lenders in connection with its credit facilities to Clearwater Seafoods Limited Partnership

  • Bell Aliant Regional Communications Limited Partnership and its affiliates in connection with their financing arrangements
