Michael's practice focuses on international inbound as well as domestic merger and acquisition transactions.

Michael has advised on many of Canada's highest-profile M&A transactions, including BHP Billiton/Potash, CNOOC/Nexen and Onex/WestJet, as well as numerous middle-market transactions. He acts for offerors, targets and significant shareholders on negotiated and unsolicited domestic and cross-border acquisition transactions. He also frequently acts for financial sponsors in both platform and roll-up transactions. Michael also has experience representing special committees of boards in connection with M&A transactions, related party transactions and internal investigations.

Michael served as Practice Group Leader of Blakes Toronto Capital Markets practice from 2013 to 2019 and prior to that was resident in our New York office.

  • Advising Hudson’s Bay Company in connection with a proposal from a shareholder group led by the Executive Chairman to privatize the Company

  • Advising Starlight Fund 5 in connection with its US$1.4-billion acquisition by Tricon Capital Group

  • Advised The Stars Group Inc. in connection with its C$6.0-billion acquisition of Sky Betting & Gaming

  • Leading the Blakes team advising Lavazza S.p.A. on its acquisition of Kicking Horse Coffee Co. Ltd.

  • Leading the Blakes team advising DigitalGlobe, Inc. in connection with its US$3-billion acquisition by MacDonald Dettwiler & Associates

  • Advising the Special Committee of Sirius XM Canada in connection with its going private transaction

Private Equity

  • Advising WestJet in connection with its announced C$5.0-billion acquisition by funds affiliated with Onex Corporation

  • Leading the Blakes team advising ABC Group Inc., a portfolio company of Cerberus Capital Management, in connection with its disposition of the Polybottle Companies

  • Leading the Blakes team advising Impact Group, a portfolio company of CI Capital, in connection with its acquisition of Cluep Inc.

  • Leading the Blakes team advising Audax Capital in connection with its acquisition of Altasciences Company

  • Advising the Executive Chairman of Halogen Software Inc. in connection with the MBO/LBO of Halogen Software and combination with Saba Software, Inc.

  • Leading the Blakes team advising KSL Capital in connection with its acquisition of 24 per cent of Whistler-Blackcomb Holdings and subsequent sale of Whistler-Blackcomb to Vail Resorts


  • Advising numerous investment banks, including Bank of America Merrill Lynch, Credit Suisse, Jefferies, Moelis and Macquarie, in connection with their roles as financial advisers to acquirors and targets in M&A transactions
