Michael specializes in mergers and acquisitions, private equity and corporate reorganizations. He advises buyers, sellers and targets on domestic and cross-border transactions across a variety of industries, including the technology, financial services and manufacturing sectors. He also maintains a general corporate practice assisting clients with commercial agreements and corporate governance issues.

Michael has completed secondments with one of the Firm's foreign investment banking clients and a leading Canadian financial services institution, where he worked on a variety of corporate and commercial matters.


Recent representative matters include acting for:

  • Hub International in connection with its acquisition of various insurance brokerages, including the property and casualty insurance business of Cypher Systems Group Inc. and commercial property and casualty brokerage Integro (Canada) Ltd.

  • Siemens Healthineers on its US$200-million purchase of Epocal from Alere Inc.

  • Lavazza S.p.A. on its acquisition of Kicking Horse Coffee Co. Ltd.

  • Maple Leaf Foods on its acquisition of LightLife Foods

  • Just Eat PLC, the world's leading online takeaway order company, on its acquisition of SkipTheDishes Restaurant Services

  • CIT Financial on the sale of substantially all of its Canadian operations to Laurentian Bank for over C$1-billion

  • Catalent Pharma Solutions Ltd., as Canadian counsel, on its purchase of all of the shares of Accucaps Industries Ltd. from Apotex Holdings Inc.

  • The Bank of Nova Scotia on the sale of the business and assets of Roynat Lease Finance, a division of its subsidiary Roynat Inc., to Meridian Credit Union Limited
