Andrew's practice focuses on income tax planning, with a primary focus on domestic and international corporate tax, the taxation of income trusts, REITs and other investment vehicles, and structured products.

A significant portion of Andrew's practice involves structuring for both domestic and cross-border mergers and acquisitions, with a focus on inbound structures including private equity investments and exchangeable share structures. He also regularly advises clients on public financings, corporate reorganizations and structured debt offerings.


Recent representative matters include advising:

  • UnitedHealth Group on its subsidiary OptumRx's US$12.8-billion combination with Catamaran Corporation

  • H&R Real Estate Investment Trust on its C$2.75-billion acquisition of Primaris Retail Real Estate Investment Trust and concurrent C$1.28-billion sale of retail real estate assets to the Kingsett group of funds

  • Transglobe Real Estate Investment Trust in connection with its C$2-billion acquisition by PD Kanco LP and Starlight Investments Ltd., with support from PSP Investment Board, CAPREIT and Timbercreek Asset Management

  • Cliffs Natural Resources Inc. on its acquisition of Consolidated Thompson Iron Mines Ltd. for approximately C$4.9-billion

  • Edgefront Realty Corp. on its conversion into a real estate investment trust by plan of arrangement and its subsequent acquisitions of real estate assets from RTL-Westcan Limited Partnership

  • Starlight U.S. Multi-Family Core Fund in connection with its C$48-million IPO of limited partnership units to acquire a portfolio of U.S. apartment properties

  • Roark Capital Group in connection with its C$143-million leveraged buyout of Pet Valu, Inc. and Pet Valu Canada Inc. and the related unwinding of Pet Valu's exchangeable share structure


Andrew was recognized in International Tax Review's World Tax 2012 for his work on the acquisition of Consolidated Thompson Iron Mines Ltd. by Cliffs Natural Resources Inc. and was an individual winner in the Innovation Student Program - Non-Law Student Innovation category at the 2011 Lexpert Zenith Awards for his participation in the Law in Action Within Schools (LAWS)/Blakes mentoring program.

He has also been recognized in The 2016 Lexpert Guide to the Leading US/Canada Cross-Border Corporate Lawyers in Canada (Corporate Lawyers to Watch) and The Best Lawyers in Canada 2019 (Tax Law).
