Tamara's practice covers a wide range of corporate and commercial matters, including fund investments, mergers and acquisitions, reorganizations, and other complex corporate restructurings and transactions, with a focus on private equity transactions and investments. She provides legal services to a broad range of clients, including financial institutions and institutional investors. She also regularly advises purchasers, vendors and targets on domestic and international transactions as well as on various forms of investments.

During her second year as an Associate, Tamara completed a secondment at a media and technology company where she acted as an in-house counsel and advised on a number of acquisitions as well as provided practical day-to-day advice. In addition, she previously completed a secondment at a foreign investment bank where she was engaged on a variety of corporate, securities and compliance matters.

Recent representative matters include acting for:

  • A large multinational provider of electronic and electrical products, systems and solutions on the Canadian aspects of the multibillion-dollar sale of its global medical device business
  • Healthcare of Ontario Pension Plan, as M&A and corporate-commercial counsel, in connection with multiple international fund investments and its European real estate development portfolio
  • Canadian Tire in connection with The Bank of Nova Scotia's C$500-million investment for a 20 per cent interest in the business of Canadian Tire Bank
  • Various pension plans and other institutional investors on their private equity, real estate, debt and infrastructure fund investments
  • A leading multinational pharmaceutical company, as Canadian counsel, on the sale of its ortho-clinical diagnostics business to an American-based global asset management firm
  • GlaxoSmithKline plc in connection with the Canadian corporate/commercial aspects of its major three-part inter-conditional transaction with Novartis AG involving its vaccines, oncology and consumer health-care businesses
  • CBS Corporation in connection with the sale of European and Asian assets from CBS Outdoor's international arm to Platinum Equity LLC for C$225-million
  • Pearson plc in connection with its global trade-book publishing joint venture with Bertelsmann to form Penguin Random House, creating the world's leading consumer publishing company
