Viorelia's practice focuses on financing and mining law matters.

Viorelia's financing practice includes advising borrowers and lenders on a wide range of commercial financings and finance transactions, both domestic and cross-border, including general corporate financings, asset-based financings, acquisition and restructuring financings, real estate financings, project financings, special loan programs, sale of loan interests and change of agency in syndicated loan arrangements. Viorelia has experience in a diverse range of industries, including forestry, pulp and paper, mining, manufacturing, wind-farm, ship building, film financing and financial services. She also maintains a complementary factoring and equipment leasing and finance practice.

In the mining practice area, Viorelia has extensive experience in regulatory and commercial aspects of the carrying on mining activities, the acquisition and maintenance of mining tenures and the acquisition and use of private or public land tenures for mining infrastructure. She works with numerous mining and exploration companies, investment firms, financial advisers and lending institutions, both foreign and local, on a wide range of transactions in the mining sector, including mergers and acquisitions, acquisition of mining projects, joint ventures, project and corporate financings, debt financings and restructurings and development of mining projects.

Complementary to its practice, Viorelia advises on the cap-and-trade system established in Quebec to reduce greenhouse gas (GHG) emissions and the carbon market that is developing in Quebec and other jurisdictions in North America.

Viorelia is fluent in English, French, Romanian and Russian.

  • A$31-million debt financing by OCP Asia to an Australian global mining company with mining projects in Australia, Canada and Argentine.

  • The financing of the acquisition of Ideal Protein, a proprietary weight loss and wellness solutions company, by Apax Partners LLP

  • US$6-million financing by The European Bank for Reconstruction and Development (EBRD) to Maya Gold & Silver, a Canadian TSXV-listed company, for, inter alios, the modernization and development of the Zgounder Silver Mine in the Kingdom of Morocco.

  • Advising on real estate and mining law matters in the CCAA restructuring proceedings of RB Energy Inc.

  • The financing of the acquisition of Manac Inc., a North American leader in the design and manufacture of specialty trailers, by a consortium composed of Placements CMI Inc. and several institutional investors

  • Senior secured credit facilities established in favour of a private equity group by a syndicate of lenders to finance the acquisition a mine in Quebec

  • Asset-based financing of a leading Canadian forestry company by a global financing company

  • Senior secured project financing for a 69 MW wind-farm project in Quebec

  • Factoring programs for suppliers based in Canada

  • Canadian aspects of airline ticket securitizations by several airline companies

  • Dealer financing programs for instalment sales and long and short-term leases of vehicles and other equipment

  • Bond issuance facility to Cecon ASA, an offshore and subsea installation contractor based in Norway, with Norsk Tillitsmann ASA N.A. acting as bond trustee for the bondholders, for the construction three vessels being built at the shipyard of Chantier Davie Canada Inc. in Lévis, Quebec

  • Negotiation of shared facilities arrangements for the operation of adjacent wind-farms

  • Acquisition by ASX-listed Toro Energy from the Sentient Group of debt and equity-based interests in a TSX-listed mining company for A$18.9-million

  • Issuance of C$132-million of common share subscription receipts by Stornoway Diamond Corporation offered by way of a public offering in Canada led by Scotia Capital Inc., Dundee Securities Ltd. and RBC Dominion Securities Inc. for the funding of the construction of the Renard Diamond Project, Quebec's first diamond mine

  • Joint venture arrangement between a TSX Venture Exchange-listed company operating in the mining sector with an investment arm of the Québec government

  • Acquisition by Maudore Minerals of the Sleeping Giant processing facility and Quebec gold assets of Northern American Paladium

  • Syndicated loan facility by a Chinese institutional lender for the acquisition of a publicly traded Canadian mining exploration company
