Pam's practice focuses on international corporate finance, capital markets regulation, structured finance and derivatives and corporate governance.

Before joining Blakes, Pam was Director of the Capital Markets/International Markets Branch of the Ontario Securities Commission (OSC) and the primary negotiator of the multi-jurisdictional disclosure system between Canada and the U.S. on behalf of the Canadian Securities Administrators (CSA). She was also the OSC representative on the International Organization of Securities Commissions working groups on secondary markets, international equity offers and collective investment schemes.

Pam has also undertaken capital market regulatory reform work on behalf of the CSA, World Bank, Asian Development Bank and the Canadian International Development Agency.

  • Provides Canadian securities law advice to Medtronic, Inc. in connection with its bid for HeartWare International, Inc.

  • Acts for a group of Canadian institutional investors and U.S. broker-dealers on Canadian capital market reform

  • Acted for a group of 24 dealers in obtaining exemptions from the requirement to prepare a Canadian wrapper for private placements by foreign issuers to permitted clients in Canada

  • Acts for an investment fund based in Romania in connection with global offering and tender offer advice

  • Provided advice to Ontario Municipal Employees Retirement System regarding establishment of the Global Strategic Investment Alliance for investment in infrastructure assets

  • Acted as counsel to SG Americas Securities, LLC, Cantor Fitzgerald & Co., MLV & Co., LLC and Knight Capital Corporation on numerous Canada-U.S. at-the-market offerings

  • Acted for HSBC Bank PLC on its covered bond program

  • Acted for a European bank and Anheuser Busch InBev SA/NV on rights offerings into Canada

  • Acted for KfW and a European bank on Maple Bond offerings into Canada

  • Acted on behalf of Eurex Frankfurt AG, a subsidiary of Deutsche Börse AG, regarding its application to the Autorité des marchés financiers for recognition as a futures and options exchange in Canada
