Alison's practice is primarily focused in the areas of securities, corporate finance and mergers and acquisitions. She has experience representing both private and publicly traded issuers as well as acting on behalf of underwriters and dealers in both private and public offerings of debt and equity securities, mergers and acquisitions. In addition, she regularly advises clients on continuous disclosure obligations, corporate governance requirements, and general corporate, securities and commercial matters.

Alison was seconded to The Toronto-Dominion Bank where she was part of the legal corporate & treasury team. Alison’s work involved a wide range of corporate legal matters, including securities issuances in Canada, the United States and globally. She also provided advice on public company, corporate governance and disclosure matters where she worked closely with senior executives and colleagues in legal and other control functions as well as with partners across the bank in investor relations, treasury and finance.

Alison has also completed a secondment to one of the Firm's clients Pembina Pipeline Corporation, a major integrated energy transportation and infrastructure service provider with an enterprise value of more than $10-billion, where she worked closely with Pembina's upstream and midstream business units. Alison's work with Pembina included attending strategic business meetings with the different business units as well as drafting and negotiating corporate and commercial contracts including gas handling agreements, terminalling agreements and master buy/sell agreements.

  • Spin Master Corp. on its C$65-million offering of subordinate voting shares, in conjunction with a C$65-million secondary offering of subordinate voting shares by the company's founders
  • A Canadian financial institution on its multi-jurisdictional disclosure system (MJDS) public offering US$1.5-billion aggregate principal amount of senior notes and US$1.75-billion aggregate principal amount of senior notes
