David's practice focuses on international mergers and acquisitions and corporate finance, with particular expertise in natural resource transactions, including numerous domestic and international public and private financings and acquisitions.


Recent representative transactions include advising:

  • Reservoir Minerals on its US$135-million acquisition of an increased interest in the Timok copper-gold project in Serbia via a US$90-million equity raise and US$45-million credit facility, and its takeover by Nevsun through a share exchange and cash transaction valued at US$440-million and prior joint ventures

  • SDX Energy Inc. on its business combination with Madison PetroGas to expand its Egyptian-based oil and gas operations and subsequent equity financings, AIM listing and acquisition of oil and gas assets of Circle Oil Plc

  • Oranje-Nassau Energie on its C$102-million take-over of Cirrus Energy and US$163-million acquisition of assets of Sterling Resources Ltd.

  • QinetiQ Group on its acquisition of the Canadian Subsidiaries of Meggitt Target Systems

  • AXIO Data Group (backed by Electra Partners) on its acquisition of Chipworks

  • TSX-V listed GB Minerals on financings and corporate matters and its take-over by Itafos in 2018

  • A European investor group on its acquisition of TSX-V listed Less Mess Storage Inc.

  • Microgen Plc on its acquisition of Fintech software provider Primacy Corporation

  • Keller Group on its C$320-million agreement to purchase North American Piling

  • Afferro Mining on its agreed take-over by IMIC valued at US$200-million

  • Acron JSC on its joint venture with Rio Tinto to explore and develop potash licences in Canada

  • ASX and TSX-listed Chalice Gold Mines on its Canadian listing and acquisition and subsequent sale of the Cameron Gold Project in Ontario

  • CompactGTL, the developer of an innovative gas-to-liquids technology, on supply, testing and commercial development agreements with Petrobras, Sumitomo, Sumitomo Precision Products, Kawasaki Heavy Industries and Johnson Matthey
