Graham has extensive domestic and international experience advising corporations and financial institutions on mergers and acquisitions, joint ventures, corporate finance and commercial law matters. He has acted as counsel to numerous foreign entities in establishing their businesses in Canada and has advised entrepreneurs and corporate investors on structuring and developing their investments in a variety of industries.

As part of his M&A and private equity practice, Graham is routinely involved in acting for bidders and sellers in both auction and conventional purchase and sale transactions. Graham's expertise also includes a wide ranging exposure to numerous negotiations, agreements and strategic problem-solving in the downstream oil and gas industry. He also has extensive experience in divestment work in relation to regulatory requirements and effectively completing complex transactions as part of regulatory approvals.

  • A leading Canadian pension fund group in a cross-border venture capital investment

  • A major U.S. credit card issuer in establishing and developing its business in Canada

  • Versent Corporation in developing its corporate store and franchise network

  • Shell Canada on its acquisition of Basell Canada's interest in a polypropylene plant

  • An ATM distributor and switch provider in developing its business across Canada

  • Suncor Energy on its divestiture of retail gasoline stations to Husky Energy

  • Wynnchurch Capital's acquisition of North American road safety business NSC Minerals

  • Amalgamated Metal's divestiture of metals conglomerate Premetalco to Nova Capital

  • A major energy entity on a wide variety of downstream related matters including those involving environmental requirements, marine transportation needs, convenience store requirements, distribution matters, as well as acquisition and divestiture related matters
