Gordon's practice focuses on advising clients in a variety of capital markets transactions and securities regulatory matters, including public financings, mergers and acquisitions, private placements, and corporate governance and compliance matters.

In 2011, Gordon completed a secondment to the Ontario Securities Commission, Corporate Finance Branch.


Representative transactions include acting on behalf of and advising:

  • Linamar Corporation with respect to its private placement of US$130-million of notes to Canadian and U.S. investors

  • H&R REIT with respect to its public offering of C$115-million principal amount of class A senior debentures, C$115-million principal amount of class B senior debentures and the concurrent redemption of C$230-million of unsecured debentures of H&R REIT

  • The initial purchasers with respect to a US$4.225-billion offering of aggregate principal amount of senior secured notes of Teck Resources Limited

  • A syndicate of underwriters with respect to a US$130-million cross-border equity offering by IESI - BFI Ltd.

  • The underwriters, led by Scotia Capital Inc. with respect to a C$29.7-million public offering of trust units by Livingston International Income Fund

  • Centamin Egypt Limited with respect to its C$69-million public offering of ordinary shares

  • Schneider Electric S.A. with respect to its C$500-million acquisition of Xantrex Technology Inc.

  • One of the lead investors in the Pan-Canadian Investors Committee in reviewing aspects of the restructuring of Canada's C$32-billion non-bank-sponsored asset-backed commercial paper (ABCP) market and the leveraged collateralized debt obligation and securitization transactions held by the insolvent ABCP conduits

  • Labatt Brewing in connection with its tender offer for Lakeport Brewing Income Fund
