John represents a significant number of Canadian public companies in the financial services, technology, automotive, retail and utility sectors, and provides advice in connection with corporate governance matters, public company requirements, public and private company M&A, reorganizations, and private and public equity and debt financings. He also has significant experience in public/private-sector arrangements.

One of John's areas of specialization is executive compensation in which he advises a number of public companies and major executive compensation consulting firms.

Another is representing clients involved in Canada's gaming industry, such as commercial casino operators.


John's recent experience includes:

  • Acted for Power Financial Corporation on its C$1.65-billion repurchase and cancellation of common shares pursuant to a substantial issuer bid and its tendering into Great-West Lifeco Inc.’s C$2-billion substantial issuer bid, and Power Corporation of Canada on its C$1.35-billion repurchase and cancellation of subordinate voting shares pursuant to a substantial issuer bid and its tendering of common shares into Power Financial Corporation’s substantial issuer bid

  • Advising Sagard Holdings and Fairfax Financial on their US$575-million acquisition of the business of Performance Sports Group Ltd.

  • Acting for IGM Financial Inc.'s subsidiary Mackenzie Investments on its acquisition of 13.9 per cent interest in China Asset Management Co., Ltd. for C$647-million

  • Representing Wescast Industries Inc. on its C$200-million acquisition by Sichuan Bohong Industry Co., Ltd.

  • Representing Gennum Corporation on its C$500-million acquisition by Semtech Corporation

  • Engaged by Canadian securities regulators to prepare rules relating to registration and prospectus exemptions under the Securities Act (Ontario), including those for employee plans and dividend reinvestment plans, as well as insider reporting requirements
