Jean's practice focuses primarily on public and private financings, mergers and acquisitions, and securities regulatory compliance matters.

Jean has acted as counsel to issuers and underwriters in numerous public offerings and private placements. He regularly advises issuers in connection with continuous disclosure requirements, corporate governance practices, regulatory compliance, and in dealings with securities regulatory authorities and stock exchanges.

Jean has participated in a range of transactions in various sectors, including mining, technology, manufacturing and services. He takes part in all aspects of the process, from due diligence review to transaction closing, and assists in the drafting and negotiating of the purchase agreement and related transaction documents.

Jean is fluent in French and English.


Recent matters on which Jean has acted include representing:

  • Manac Inc., a North American manufacturer of trailers and specialty trailers, in connection with its initial public offering
  • Novacap on its acquisition of Hallcon Corporation, a provider of specialty outsourced services to the railway and transit sectors in North America
  • Novacap on its acquisition of The Master Group, the largest independent distributor of air conditioning, refrigeration, heating, ventilation and geothermal systems in Eastern Canada
  • Clearview Capital Fund III, LP in its acquisition of Novik Inc., a manufacturer and distribution of innovative polymer exterior siding, roofing coverings and accessories, by way of plan of arrangement
  • Apax Partners LLP in connection with its acquisition of Ideal Protein, a proprietary weight loss and wellness solutions company
  • A consortium composed of Placements CMI Inc. and Québec institutional investors in connection with the acquisition of Manac by way of plan of arrangement
  • Nabco Entrances, Inc. and Nabco Canada Inc. in connection with a series of share and asset purchase transactions in Canada
