Matthew practices in both the tax planning and tax litigation fields. His practice is primarily focused on domestic and international corporate taxation matters, with an emphasis on transactional advice, mergers and acquisitions, corporate reorganizations and debt and equity financings. Matthew also has experience advising not-for-profit organizations and charities.

Prior to and throughout law school, Matthew co-founded and managed several businesses, including a lighted reading glasses distribution company and a landscaping business.

  • Nevsun Resources Ltd. with respect to its response to Euro Sun Mining Inc. and Lundin Mining Corporation’s non-binding unsolicited proposal to acquire Nevsun for C$1.5-billion

  • Anandia Laboratories in connection with its acquisition by Aurora Cannabis for C$115-million in common shares

  • Cardiome Pharma Corp. in connection with the acquisition of its Canadian business portfolio by Cipher Pharmaceuticals Inc. for C$25.5-million pursuant to a statutory plan of arrangement

  • Maverix Metals Inc. in connection with its acquisition of a royalty portfolio from Newmont Mining Corporation

  • Dominion Lending Centres Group in the sale of a 60 per cent interest to Founders Advantage Capital Corp. for C$78-million

  • Ascot Resources Ltd. in connection with its acquisition of the Premier mine from Boliden and the Silver Coin property from Jayden Resources

  • Macquarie Infrastructure Partners III L.P. on its C$393-million private equity investment and subsequent sale in the C$5.125-billion recapitalization of GFL Environmental Inc.

Corporate Finance

  • Zymeworks Inc. in connection with its US$64-million cross-border initial public offering and the US$100-million cross-border public offering of common shares of Zymeworks Inc.

  • Zymeworks in connection with its US$97.8-million MJDS prospectus offering of common shares

  • D-Wave Systems Inc. on its placement of C$62-million of equity in a venture capital financing
