About Tamara

Tamara's practice focuses on mergers and acquisitions, fund investment and formation, and other complex corporate restructurings and transactions, with an emphasis on private equity transactions and investments.

She regularly advises purchasers, vendors and targets on domestic and international M&A transactions. She also advises sponsors, managers, and institutional and other investor clients on forming and investing in pooled fund investment vehicles.

Tamara's experience with both fund managers and investors provides her with a unique perspective to provide a 360-degree view of the relevant market issues. She has represented clients in the financial services, media, technology, telecom, life sciences and infrastructure sectors, among others.

Tamara previously completed a secondment at a media and technology company where she acted as in-house counsel, advising on a number of acquisitions and providing practical day-to-day advice. She was also seconded to a foreign investment bank where she was engaged on a variety of corporate and compliance matters.

Recent representative matters include acting for:

  • Royal Bank of Canada on its C$13.5-billion acquisition of HSBC Bank of Canada

  • A private equity firm in connection with its acquisition and continuing consolidation of specialist dental and orthodontist practices across Canada

  • Canadian Tire in connection with The Bank of Nova Scotia's C$500-million investment for a 20% interest in the business of Canadian Tire Bank

  • A large multinational provider of electronic and electrical products, systems and solutions on the Canadian aspects of the multibillion-dollar sale of its global medical device business

  • A leading multinational pharmaceutical company, as Canadian counsel, on the sale of its ortho-clinical diagnostics business to an American-based global asset management firm

  • Healthcare of Ontario Pension Plan, as M&A and corporate-commercial counsel, in connection with its European and Canadian real estate development portfolio

Fund Formation and Investment

  • Various pension plans and other institutional investors on over 50 private equity, real estate, credit and infrastructure fund investments

  • Structuring and formation of pooled fund investment vehicles for pension funds, institutional investors and other accredited investors, including BentallGreenOak, Staircase Ventures and InvestEco
Professional Activities

Tamara is currently a director and vice president of Justice for Children and Youth, a legal clinic providing free legal services to youth in Ontario.
