Recent representative matters include advising:

  • Advising Pembina Pipeline Corporation on all its domestic and international banks and note financings including its C$1.5-billion syndicated facility

  • Advising Agrium Inc. on all its domestic and international financings including its US$2.5-billion syndicated global facility

  • Advising the lenders on the Maritimes and Northeast Pipeline project financing

  • Advising the lenders on a cross-border facility that included the acquisition financing of a significant western Canadian pipeline

  • Advising the lenders on numerous acquisition financings for oil and gas assets

  • Advising the lenders on financings for acquisitions done through take-over bids and plans of arrangement

  • Advising a special-purpose borrower in a regulated utilities industry on the structuring and negotiation of its credit facilities (bank and private placement notes)

  • Advising the borrower on the structuring and negotiation of a synthetic lease financing of its undivided joint venture interest in a gas-powered cogeneration facility

  • Advising many of the Firm's large corporate clients on covenant compliance and reporting matters under their bank and capital markets financings

  • Acting for LNG Canada Development Inc. in connection with its arrangements with TransCanada Corporation to design, build, own and operate the proposed Coastal GasLink pipeline project
