About Jeremy

Jeremy's practice focuses on advising clients on a wide variety of international and domestic capital markets transactions, including mergers and acquisitions and corporate finance transactions for public and private companies. He acts for both issuers and underwriters on public offerings and private placements of debt and equity securities. He also advises Canadian and international companies on a wide range of corporate governance and securities law compliance matters.

Jeremy summered at Blakes after his first year of law school and articled with the Firm upon graduation.

Capital Markets Transactions

  • Starlight Investments on the initial public offering of trust units of Northview Canadian High Yield Residential Fund for gross proceeds of C$430-million in November 2020 in connection with the going private transaction with Northview Apartment REIT by way of unitholder- and court-approved arrangement valued at C$4.8-billion

  • Starlight U.S. Multi-Family (No. 1) Core Plus Fund in connection with its C$218.2-million IPO of limited partnership units in February 2020

  • H&R Real Estate Investment Trust in connection with multiple public and private offerings of senior unsecured debentures, including most recently its public offering of C$400-million principal amount of 4.071% debentures due June 2025 and its private offering of C$250-million principal amount of 2.906% debentures due June 2026

  • Syndicate of underwriters in connection with the establishment and renewal of the Ontario Power Generation Inc. C$4-billion medium term note program, four public offerings of notes aggregating C$2.2-billion and three public offerings of green bonds aggregating C$2.15-billion

  • Syndicate of underwriters in connection with the renewal of Toronto Hydro Corporation's C$1-billion medium term note program and four public offerings of notes aggregating C$1-billion

  • Underwriters on a C$230-million initial public offering of trust units by Minto Apartment REIT on the Toronto Stock Exchange

  • Granite Real Estate Investment Trust and Granite REIT Inc. (collectively, Granite) in connection with Granite's inaugural issuance of green bonds by its wholly-owned subsidiary Granite REIT Holdings Limited Partnership, being a public offering of C$500-million aggregate principal amount of senior unsecured debentures

  • Underwriters in connection with a US$40-million offering of trust units and a US$40-million offering of convertible unsecured subordinated debentures of BSR Real Estate Investment Trust

  • Algonquin Power & Utilities Corp. in connection with the establishment of its US$250-million cross-border public "at-the-market" common share offering and subsequent renewal for the sale of up to US$500-million in common shares

  • Algonquin Power & Utilities Corp. in connection with a cross-border public offering of fixed-to-floating hybrid notes for US$250-million

  • Starlight Group Property Holdings Inc. in connection with the establishment of a closed-end Canadian multi-residential real estate fund on an equity commitment basis in April 2019

  • Spin Master Corp. on its C$253-million initial public offering of subordinate voting shares on the Toronto Stock Exchange in July 2015 (and subsequent public offerings)

  • A leading mining finance company on a C$80-million streaming and equity subscription finance package for a TSX-listed corporation

  • SoftBank Group Corp. on its C$99-million investment in Nemaska Lithium Inc.

  • Starlight U.S. Multi-Family (No. 1) Value-Add Fund in connection with its C$86.1-million IPO of limited partnership units in June 2017

  • Starlight U.S. Multi-Family (No. 5) Core Fund in connection with its C$61-million initial public offering of units in October 2016

  • Underwriters in connection with various equity offerings, including two common share offerings for Trisura Group Ltd. (C$118-million), subscription receipt offerings by Leagold (C$175-million) and Champion Iron, a C$52-million offering of units consisting of common shares and warrants by Primero Mining, a C$75-million offering of common shares by Wajax Corporation, and a C$46-million offering of trust units by Inovalis REIT

  • Zeg Oil and Gas Ltd in connection with its private placement investment of approximately US$30-million in Oryx Petroleum Corporation Limited

Mergers, Acquisitions and Reorganization Transactions

  • H&R Real Estate Investment Trust in connection with its October 2018 court-approved internal reorganization to unwind its "stapled unit" structure with H&R Finance Trust

  • Kinross Gold Corporation on its sale of a royalty portfolio to Maverix Metals Inc. for total consideration of C$74-million

  • Nexus REIT (formerly Edgefront REIT) in connection with its friendly merger with Nobel REIT to create a C$300-million diversified REIT in April 2017, as well as its follow-on bought deal offering and private placement of REIT units for C$70-million in June 2017

  • A leading mining finance company on its acquisition of a portfolio of interests in streaming agreements on Canadian mining projects

  • Starlight U.S. Multi-Family (No. 5) Core Fund in connection with its acquisition of four publicly listed Starlight U.S. multi-family limited partnerships and Campar Capital Corporation, resulting in a total enterprise value of US$1.1-billion

  • Starlight U.S. Multi-Family (No. 5) Core Fund in connection with its US$1.4-billion acquisition by Tricon Capital Group

  • Bell on its C$670-million acquisition of Glentel Inc. and subsequent sale of a 50% interest in Glentel Inc. to Rogers Communications Inc.

  • Element Financial Corporation on its "butterfly" spin-out transaction by way of plan of arrangement pursuant to which Element separated into two new public companies: Element Fleet Management Corp. (TSX:EFN) and ECN Capital Corp. (TSX:ECN)
