About Trisha

Trisha advises publicly listed companies with respect to public offerings, private placements, take-over bids, mergers and acquisitions. She has particular experience advising mining companies on complex financing transactions as well as advising public companies on compliance and reporting requirements.

Trisha provides legal services through Trisha Robertson Law Corporation.

Recent significant transactions include acting as counsel to:

  • NovaGold Resources Inc. in connection with its sale of a 50% interest in the Galore Creek Partnership to a subsidiary of Newmont Mining Corporation for a staged and contingent aggregate consideration of up to US$275-million

  • Trilogy International Partners on a US$875-million business combination with Alignvest Acquisition Corporation, a special purpose acquisition corporation (SPAC)

  • Resource Capital Fund VI L.P. in connection with a US$325-million construction financing package for Lydian International Limited which included a credit agreement, gold stream, gold offtake and equity placement

  • Pretivm Resources in connection with its US$540-million construction financing package which included a US$150-million callable gold and silver stream agreement

  • Lundin Gold Inc. with respect to a public offering and concurrent private placement, and concurrent TSX and Stockholm listings, all in connection with the acquisition of the Fruta del Norte Project from Kinross Gold Corp.

  • CGA Mining Limited in connection with its acquisition by B2Gold Corp. for $1.1-billion

  • Red Back Mining Inc. in the friendly acquisition of Red Back by Kinross Gold Corp. for US$7.1-billion

  • NovaGold Resources Inc. in connection with its US$360-million multijurisdictional disclosure system public offering

  • NovaGold Resources Inc. in connection with the spin-out of the Ambler project into NovaCopper Inc., a new Toronto Stock Exchange-listed company

  • Canaccord Genuity Corp., lead underwriter in the C$300-million initial public offering of Primero Mining Corp.

  • Raymond James Ltd., lead underwriter in the 2009 C$115-million initial public offering of Magma Energy Corp., as well as the C$40-million follow-on public offering by Magma

Trisha is a member of The Law Society of British Columbia, the Law Society of Ontario and the Nova Scotia Bar Association. She is also a member of the Canadian Bar Association and has lectured on corporate governance matters for the Continuing Legal Education Society of British Columbia's CLE program.

Trisha has also spoken on securities and M&A matters at a number of third-party conferences.
