  • True Gold Mining Inc. on its acquisition by Endeavour Mining Corporation (value C$240-million)

  • Claude Resources Inc. on its acquisition by Silver Standard Resources Inc. (value C$337-million)

  • Aurizon Mines Ltd. in connection with its defence of a hostile take-over bid by Alamos Gold which resulted in a proposed acquisition of Aurizon by Hecla Mining Company (value C$796-million)

  • Quadra FNX on its acquisition by KGHM Polska (value US$3.6-billion)

  • Red Back Mining Inc. on its acquisition by Kinross Gold Corporation (value C$7.33-billion)

  • Lithium One on its acquisition by Galaxy Resources Limited, including an exchangeable share component for certain eligible investors

  • Brazauro Resources Corporation on the distribution of assets to shareholders and its subsequent acquisition by Eldorado Gold Corporation

  • Canoe Financial, as issuer's counsel, on numerous flow-through limited partnership offerings

  • CGA Mining Limited on the distribution of shares of Ratel Gold Limited to its shareholders

Professional Activities

Kevin has authored or co-authored articles on numerous topics including the Canadian tax implications of cross-border guarantees, exchangeable share transactions and partnerships. For the past several years, he has been editor of the Blakes Bulletin on Tax.

Kevin is a member of the Canadian Tax Foundation, the Canadian Bar Association, the American Bar Association, the International Fiscal Association and the Rocky Mountain Mineral Law Institute.

Kevin has completed all three parts of the in-depth tax course offered by the Canadian Institute of Chartered Accountants and the Canadian Tax Foundation's "Taxation for the Owner-Manager" course.
