About Shona

Shona practises Canadian corporate and securities law. She advises both public and private companies on a wide range of transactional matters, including mergers and acquisitions, public and private financings, and corporate reorganizations. She also provides ongoing advice to clients on a number of related matters, including securities regulatory compliance, continuous disclosure obligations, stock exchange matters and general corporate law.

Shona speaks Mandarin Chinese fluently.

Recent representative matters include advising and assisting:

  • Carbon Engineering Ltd., a climate solutions company focused on the development of direct air capture technology, on its acquisition by Oxy Low Carbon Ventures, a wholly-owned subsidiary of Occidental Petroleum Corporation

  • Absolute Software Corporation in connection with its acquisition by Crosspoint Capital Partners for approximately US$870-million

  • Neovasc Inc. in connection with its acquisition by Shockwave Medical, Inc. for approximately US$100-million

  • Ascot Resources Ltd. on various transactions, including in connection with its C$64-million bought deal financing and C$200-million project financing package, including a strategic equity investment

  • National Veterinary Associates, Inc. on its acquisition of a number of Canadian veterinary practices

  • Later.com on its acquisition by Mavrck, in an acquisition funded by Summit Partners

  • Vecima Networks Inc. in connection with its offering of shares pursuant to the listed issuer financing exemption and concurrent private placement for gross proceeds of approximately C$17-million
