About Tricia

Tricia provides strategic advice to clients on a wide range of legal matters, including complex corporate transactions and agreements for the acquisition, use, protection, licensing, commercialization, transfer and sale of technology and intellectual property rights.  She has substantial experience in advising businesses seeking to establish or expand their operations in Quebec and across Canada, through mergers & acquisitions, private equity investments or other commercial arrangements.

As one of the leaders of the Life Sciences group of the Montréal office, Tricia has an in-depth understanding of the life sciences ecosystem. She has specialized experience working with both strategic and financial investors in consolidating businesses in the healthcare sector, including in medical, optometry, dental and long-term care services.  She assists multinational and local manufacturers, distributors, suppliers and service providers as well as healthcare professionals navigate complex legal issues in connection with pharmaceutical products, medical devices, and other regulated products. Increasingly, Tricia assists with transactions involving AI and virtual care.  

Tricia has been involved in Firm leadership, having served on the Firm's Partnership Committee, co-chaired the Recruitment Committee of the Montréal office and led its Pro-Bono Committee. She also built and co-led the Firm's Cannabis group during the legalization boom.

  • Corporate lead for Hussman Canada Inc., a subsidiary of Panasonic Corporation, on its integration of Jones Food Store Equipment and John Clarke Refrigeration into the Hussman Family (April 2025)

  • Corporate lead for Shopify Inc. on its acquisition of certain assets of Ritual Technologies Inc. (January 2025)

  • Corporate lead for Rose LifeSciences Inc. on the sale of the majority of its shares to Village Farms International, Inc. (NASDAQ: VFF) and minority shareholder share sales, and in connection with equity investments by Tilray, Inc. and Grow Capital (2018-2025)

  • Corporate lead for a platform of fertility practices on its acquisitions of fertility clinics and associated assets and services across Canada (2020-2024)

  • Corporate lead for Hussmann Canada Inc. on the sale of its Atlantic Canadian refrigeration services business to Ainsworth Inc., a subsidiary of GDI Integrated Facility Services Inc. (TSX: GDI) (April 2024)

IP/Tech Specialist in M&A Transactions

  • Wabtec Corporation (NYSE: WAB) in its agreement to acquire Evident's Inspection Technologies division, a global leader in remote testing and inspecting of mission-critical applications and infrastructure (2025)

  • A portfolio company of a U.S. private equity firm on its acquisition of Wesco Integrated Supply, a supply chain solution provider (2024)

  • A packing machine business in the food & beverage and pharmaceutical industries on its sale to ATS Corporation (TSX: ATS) (NSE: ATS) (2024)

  • The venture arm of a large technology company on several investments in AI-driven companies, including autonomous vehicles and cyber-threat identification (2024)

  • Fonds de Solidarité FTQ on its investment in Global Spatial Technology Solutions (GSTS), an AI-powered maritime intelligence company (2024)

AI Commercial & Regulatory

  • A French developer and provider of AI solutions for medical imaging on regulatory restrictions and requirements of launching its products in Canada

  • A European provider of AI-powered diagnostic tools on adapting its operations to the Quebec and Canadian markets

Life Sciences Commercial & Regulatory

  • A national network of pharmacies on various regulatory and commercial matters in support of its operations, including advising on patient support programs, services agreements, a digital transformation project and health-specific privacy and data protection matters

  • A foreign investor in connection with its purchase of long-term care facilities in several Canadian provinces, including advising on acquisition structure considering regulatory restrictions, drafting performance guarantees and negotiating with provincial health authorities

  • A foreign pharmaceutical company on navigating the legal framework applicable to public procurement in Quebec's health sector, including the distribution and sale in Canada of medical products developed and manufactured abroad

  • Various pharmacies on collaboration agreements and administrative service agreements

  • A global leader in digital technologies for their optical healthcare industry in their Canadian healthcare business, including collaborating with business and legal teams on core services and sales agreements and advising on regulatory issues to ensure compliance with Canadian law

  • A European in vitro diagnostics company specialized in providing equipment and reagents for the screening and monitoring of various diseases on its data protection compliance with Canadian laws

  • Quebec-based companies involved in specialty medications and patient support programs on their data-related practices and policies to identify and remedy compliance issues

  • Various organizations on data transfer issues in the context of large corporation transactions, including patient information, customer information and employee information, and cross-border data transfers

Tricia is the key Blakes contact person in Quebec for Lex Mundi (a leading global network of independent law firms) and a member of their Global Life Sciences and Healthcare Group.  She also participated in the Lex Mundi Institute Cross-Border Transactions Program in Monterey, California.

Tricia serves on the Life Sciences Committee and Royalty Rate Deal Terms Study subcommittee of the Licensing Executives Society (LES).

She is also a member of BioQuebec and a key Blakes contact person for Montreal International.
