About Annie

Annie practises corporate and securities law, with a focus on mergers and acquisitions (M&A), capital markets, corporate finance, and corporate governance.

Annie advises public and private companies and private equity sponsors on domestic and cross-border M&A transactions, including plans of arrangement, share and asset acquisitions, going-private transactions and business combinations. She also advises issuers and dealers on debt and equity capital markets transactions, including acquisition financings, project financings and cross-border offerings under the Multijurisdictional Disclosure System (MJDS).

In addition to her transactional practice, Annie advises clients on a broad range of corporate and securities law matters, including corporate governance, continuous disclosure, securities regulatory compliance, stock exchange requirements and restructurings.

Prior to joining Blakes, Annie practised at leading global and national firms, where she advised clients on corporate and commercial matters, including M&A, capital markets, financing and intellectual property matters.

Select Experience

Over the course of her career, Annie has acted as counsel to a representative sample of clients, including:

  • A leading Canadian fuel distributor in its approximately US$9.1-billion acquisition by a U.S. energy infrastructure operator and fuel distributor by way of a plan of arrangement, as well as in its prior offering of US$500-million aggregate principal amount of senior unsecured notes

  • A Canadian midstream energy company in its approximately C$5.3-billion acquisition of substantially all of the Canadian natural gas liquids business of a major North American midstream energy company, together with certain related U.S. assets, and its related bought-deal offering of subscription receipts

  • A private equity sponsor in its approximately C$400-million take-private acquisition of a leading North American energy services company by way of a plan of arrangement

  • A Canadian oil and gas exploration and production company in its inaugural investment-grade notes offering of C$1.0-billion aggregate principal amount of senior unsecured notes

  • A Canadian midstream energy company in its inaugural and subsequent high-yield notes offerings, totalling C$1.0-billion aggregate principal amount of senior unsecured notes

  • A syndicate of underwriters in connection with private placement offerings by a Canadian crude oil and natural gas producer of US$1.5-billion and C$500-million principal amount of investment-grade notes

  • A global pet food manufacturer and distributor headquartered in Canada in its sale to a multinational food and confectionary company

  • Independent insurance brokerages in connection with their sales to strategic acquirers
