About Austin

Austin's practice focuses primarily on assisting clients with general corporate and commercial matters. He has assisted clients on various matters and transactions, including asset acquisitions and dispositions, joint ventures, corporate reorganizations and energy infrastructure development, operational and services agreements.

Austin's experience includes analyzing corporate agreements, conducting corporate due diligence and research, as well as drafting corporate agreements and constating documents.

As an articling student, Austin spent three months working in the legal group at a leading North American energy company as part of a secondment.

Select Experience

Representative matters in which Austin has been involved include:

  • Suncor Energy Inc. on its C$1.468-billion acquisition of TotalEnergies EP Canada Ltd., which holds a 31.23% working interest in the Fort Hills oil sands mining project

  • Pacific Energy on the disposition of a 30% stake in the C$5.1-billion Woodfibre LNG project to Enbridge Inc. and the structuring of governance and operational agreements for the development and operation of the project

  • Suncor Energy Inc. on its collaboration agreements with Canadian Tire Corporation, Limited in connection with a joint loyalty program, rebranding of Canadian Tire retail fuel stations to Petro-Canada, and a long-term fuel supply arrangement

  • Nutrien Ltd. on numerous merger and acquisition transactions related to its retail agriculture and fertilizer production and distribution businesses, as well as on project development and operational matters for its nitrogen production facilities and potash mines

  • Nutrien Ltd. on the internal reorganization of its US and Canadian operations

  • Capstone Infrastructure on its acquisition of the Wild Rose wind projects from NaturEner and subsequent power purchase arrangements

  • Pembina Pipeline Corporation on its C$11.4-billion joint venture with KKR & Co. Inc. to merge their western Canadian natural gas processing assets

  • Energy Capital Partners on its preferred equity investment in a renewable fuels refining facility

  • Wolf Midstream on the investment in and development of a number of midstream facilities and related commercial arrangements, including refining, pipeline transportation and carbon capture, utilization and storage

  • Wolf Carbon Solutions US LLC with respect to commercial framework and scoping of FEED studies to evaluate pore space acquisition and the development of capture, transportation and permanent sequestration of CO2 in the U.S. Gulf Coast region

  • ENMAX Corporation on the sale of the District Energy Centre facility to Atlantica Sustainable Infrastructure PLC

  • Engineering, procurement and construction and other supply chain contracting matters for the development of mining agribusiness and electricity projects

  • A renewable fuels company in the drafting of the construction agreement and engineering and procurement agreement in the construction of its planned C$1.2-billion renewable diesel facility
