About Danielle

Danielle's practice focuses on domestic and cross-border structured finance transactions, asset-based lending transactions and debt financing transactions. She advises sellers, purchasers, servicers and custodians on public and private securitization transactions involving various asset classes, including auto loans and leases, residential and commercial mortgage loans, consumer loans, credit cards and trade receivables.

Danielle has experience representing lenders (bank and private credit) and borrowers in secured and unsecured financing transactions, bilateral and syndicated loan structures and asset-based financings.

Danielle regularly acts as local counsel on multi-jurisdictional structured finance and debt financing transactions and provides advice to sellers, purchasers, lenders and borrowers on the Canadian aspects of the transactions.

Recent representative transactions include advising:

  • Several large businesses on their financings of acquisitions by way of securitization of lease and loan portfolios

  • MCAP RMBS Issuer Corporation in connection with an offering of C$247-million of residential mortgage pass-through certificates sold on a private placement "best efforts" agency basis by a syndicate of agents

  • MCAP RMBS Issuer Corporation in connection with an offering of C$264-million of residential mortgage pass-through certificates sold on a private placement “best efforts” agency basis by a syndicate of agents

  • MBarc Credit Canada Inc. in connection with an offering of C$414-million of asset-backed notes collateralized by a pool of Canadian retail auto lease contracts and the related new and used vehicles

  • Silver Arrow Canada LP in connection with an offering of C$507-million of asset-backed notes collateralized by a pool of motor vehicle conditional sale contracts and installment sale contracts
