About Chelsea

Chelsea practises corporate and securities law. Her primary focus is on securities matters, particularly in the areas of mergers and acquisitions, corporate finance, corporate governance, and compliance with continuous disclosure requirements.

Chelsea's experience includes representing both private and publicly traded issuers listed on the Toronto Stock Exchange (TSX), the New York Stock Exchange (NYSE) and the TSX Venture Exchange. She has represented issuers and underwriters in public and private offerings of equity and debt and has acted on behalf of both purchasers and vendors in a variety of M&A transactions. Chelsea also advises clients on general corporate and commercial matters.

Prior to joining Blakes, Chelsea completed a year-long secondment with a TSX-listed major Canadian transportation and midstream service provider, where she advised on corporate finance (including multiple debt and equity public offerings), corporate governance, continuous disclosure, and general commercial and contract matters.

Representative matters in which Chelsea has been involved include acting for:

  • WestJet Airlines Ltd. on its proposed acquisition by Onex Corporation for approximately C$5-billion

  • ClearStream Energy Services Inc. on its acquisition of certain assets from AECOM Production Services Ltd. and concurrent equity financing

  • Trinidad Drilling Ltd. with respect to the hostile take-over bid made by Ensign Energy Services Inc.

  • Pembina Pipeline Corporation on its C$9.7-billion acquisition of Veresen Inc.

  • Trican Well Service Ltd. on its C$637-million acquisition of Canyon Services Group Inc.

  • A TSX-listed oilfield service company in connection with its C$400-million acquisition of another listed issuer, pursuant to a plan of arrangement

  • A NYSE-listed issuer in connection with its acquisition of a leading Alberta-based private utility company for approximately US$220-million

  • A leading institutional fund manager on its C$400-million investment in a TSX-listed issuer

  • A foreign-based exploration and development company in connection with its reverse take-over of a TSX Venture Exchange-listed issuer and subsequent listing on the TSX

  • Western Energy Services Corp. on its Rights Offering and Debt Restructuring

  • KFG Resources Ltd. on its acquisition by Cadillac Ventures Inc.

  • Horizon North Logistics Inc. on its business combination with Dexterra Integrated Facilities Management

  • Orca Gold Inc. in its sale to Perseus Mining Limited for C$233-million

  • Fortuna Silver Inc. on its acquisition of Roxgold Inc. for C$1-billion
