About Hannah

Hannah is developing a transaction-based practice in the areas of corporate and securities law, including mergers and acquisitions, public and private financings, private equity transactions, corporate reorganizations, securities regulatory compliance, continuous disclosure obligations, stock exchange matters, and corporate governance.

Hannah obtained her law degree from Western University where she was a program manager at the Sport Solution Clinic, which services Canadian Olympic and national-level athletes in sporting disputes through Western Law and AthletesCAN. Prior to law school, Hannah graduated from Queen's University.

  • Orla Mining Ltd. in the US$850-million acquisition of the Musselwhite Mine from Newmont Corporation

  • Capstone Copper Corp. in connection with Orion Resource Partners LP's investment in the Santo Domingo and Sierra Norte Projects for up to US$360-million

  • enGene Inc. on its US$135-million business combination with Forbion European Acquisition Corp., a special purpose acquisition corporation

  • Bluestone Resources Inc. in its up to C$74-million acquisition by Aura Minerals Inc.

  • Lac Gold (Rouyn) Inc., a Canadian subsidiary of Lac Gold Pty Ltd (Au), for its acquisition of the Rouyn gold property from Yorbeau Resources Inc. for a purchase price of C$25-million

  • PowerBank Corporation (formerly, SolarBank Corporation), a renewable and clean energy project developer, on its acquisition of Solar Flow-Through Funds Ltd. for share-based consideration and the issuance of contingent value rights

  • Cleveland-Cliffs Inc. on its acquisition of Stelco Holdings Inc., a transaction representing an enterprise value of approximately C$3.4-billion

Capital Markets and Corporate Finance

  • Stifel Nicolaus Canada Inc., on behalf of a syndicate of underwriters, in connection with Allied Gold Corporation's C$195-million over-night marketed offering

  • Canaccord Genuity Corp., on behalf of a syndicate of underwriters, in connection with Allied Gold Corporation's C$80-million bought deal offering

  • Thinkific Labs Inc. on its secondary offering of approximately C$14.9-million

  • Underwriters and agents on numerous public offerings and private placements of common shares, subscription receipts, flow-through shares, units and convertible notes of Canadian public companies
