About Jeremy

Jeremy's practice focuses on advising clients on a wide variety of international and domestic capital markets transactions, including mergers and acquisitions and corporate finance transactions for public and private companies. He acts for both issuers and underwriters on public offerings and private placements of debt and equity securities. He also advises Canadian and international companies on a wide range of corporate governance and securities law compliance matters.

Jeremy summered at Blakes after his first year of law school and articled with the Firm upon graduation.

  • Nexus Industrial REIT on its inaugural senior unsecured debenture offering by private placement of C$500-million aggregate principal amount of debentures in two tranches bearing interest at 4.236% maturing in April 2029 and 4.641% maturing in April 2031

  • Syndicate of underwriters in connection with the Extendicare Inc.'s inaugural senior unsecured notes offering by private placement of C$450-million aggregate principal amount of notes bearing interest at 4.345% maturing in April 2031

  • Syndicate of underwriters in connection with the Extendicare Inc.'s C$200-million private placement of common shares

  • Syndicate of underwriters in connection with the establishment and continued renewal of Ontario Power Generation Inc.'s medium term note program, along with five public offerings of notes aggregating C$2.2-billion and eight public offerings of green bonds aggregating C$4.75-billion, including its inaugural nuclear green bond

  • Syndicate of underwriters in connection with the renewal of Toronto Hydro Corporation's medium term note program and multiple public offerings of notes aggregating over C$2.5-billion

  • FMS Capital Trust in connection with its initial public offering and non-brokered private placement raising C$54-million in August 2025

  • GO Residential Real Estate Investment Trust in connection with its US$410-million initial public offering on the Toronto Stock Exchange and associated US$90-million private placement to a cornerstone investor

  • West Side Square Development Fund (US$50-million), Lantower Residential Real Estate Development Trust (No. 1) (US$52-million) and Plazacorp Willowgrove Real Estate Development Trust (C$75-million) in their respective initial public offerings in 2023 and 2024 as real estate development trusts

  • Milton Hydro Holdings Inc. in connection with its inaugural senior unsecured debenture offering by private placement raising C$63.5-million

  • H&R Real Estate Investment Trust in connection with multiple public and private offerings of senior unsecured debentures, including most recently its private offering of C$250-million principal amount of 5.457% debentures due February 2029

  • Starlight Western Canada Multi-Family (No. 2) Fund in connection with its initial public offering of trust units raising C$130-million in February 2022

  • Underwriters on the initial public offering and concurrent private placement of common shares by Aclara Resources Inc. on the Toronto Stock Exchange raising an aggregate of C$126-million

  • D2L Inc. on its C$150-million initial public offering of subordinate voting shares on the Toronto Stock Exchange

  • Starlight Investments in connection with the initial public offerings of limited partnership or trust units of five closed-end U.S. residential-focused funds, raising an aggregate of US$708.5-million

  • Starlight Investments on the initial public offering of trust units of Northview Canadian High Yield Residential Fund for gross proceeds of C$430-million in November 2020 in connection with the going private transaction with Northview Apartment REIT by way of unitholder- and court-approved arrangement valued at C$4.8-billion

  • Underwriters on a C$230-million initial public offering of trust units by Minto Apartment REIT on the Toronto Stock Exchange

  • Granite Real Estate Investment Trust and Granite REIT Inc. (collectively, Granite) in connection with Granite's inaugural issuance of green bonds by its wholly-owned subsidiary Granite REIT Holdings Limited Partnership, being a public offering of C$500-million aggregate principal amount of senior unsecured debentures

  • Algonquin Power & Utilities Corp. in connection with the establishment of its US$250-million cross-border public "at-the-market" common share offering and subsequent renewal for the sale of up to US$500-million in common shares

  • Starlight Group Property Holdings Inc. in connection with the establishment of a closed-end Canadian multi-residential real estate fund on an equity commitment basis in April 2019

  • Spin Master Corp. on its C$253-million initial public offering of subordinate voting shares on the Toronto Stock Exchange in July 2015 (and subsequent public offerings)

  • Underwriters in connection with various equity offerings, including BSR REIT's follow-on offering of trust units (US$40-million) and convertible debentures (US$40-million), two common share offerings for Trisura Group Ltd. (C$118-million), subscription receipt offerings by Leagold (C$175-million) and Champion Iron, a C$52-million offering of units consisting of common shares and warrants by Primero Mining, a C$75-million offering of common shares by Wajax Corporation, and a C$46-million offering of trust units by Inovalis REIT

Mergers, Acquisitions and Reorganization Transactions

  • Padlock Euro Storage Fund I in connection with the sale of its 27-property U.K. self-storage portfolio to an affiliate of QuadReal Property Group for £270-million, and two prior reorganizations by plan of arrangement of Clear Sky Capital Inc.'s series of Padlock funds to form Padlock Euro Storage Fund I

  • Northview Fund on its recapitalization transaction and transformation into Northview Residential REIT in August 2023

  • H&R Real Estate Investment Trust in connection with its October 2018 court-approved internal reorganization to unwind its "stapled unit" structure with H&R Finance Trust

  • Kinross Gold Corporation on its sale of a royalty portfolio to Maverix Metals Inc. for total consideration of C$74-million

  • Nexus REIT (formerly Edgefront REIT) in connection with its friendly merger with Nobel REIT to create a C$300-million diversified REIT in April 2017, as well as its follow-on bought deal offering and private placement of REIT units for C$70-million in June 2017

  • A leading mining finance company on its acquisition of a portfolio of interests in streaming agreements on Canadian mining projects

  • Starlight U.S. Multi-Family (No. 5) Core Fund in connection with its acquisition of four publicly listed Starlight U.S. multi-family limited partnerships and Campar Capital Corporation, resulting in a total enterprise value of US$1.1-billion

  • Starlight U.S. Multi-Family (No. 5) Core Fund in connection with its US$1.4-billion acquisition by Tricon Capital Group

  • Bell on its C$670-million acquisition of Glentel Inc. and subsequent sale of a 50% interest in Glentel Inc. to Rogers Communications Inc.

  • Element Financial Corporation on its "butterfly" spin-out transaction by way of plan of arrangement pursuant to which Element separated into two new public companies: Element Fleet Management Corp. (TSX:EFN) and ECN Capital Corp. (TSX:ECN)
