About Jessica

Jessica practises primarily in the area of corporate taxation with a focus on corporate reorganizations, partnership structuring, and mergers and acquisitions. She also advises high-net-worth individuals on all aspects of tax planning, including business reorganizations, trust and succession planning, philanthropic endeavours, and family office corporate governance.

Jessica works with a wide range of clients, including owner-managed businesses, large multinationals and tax-exempt entities.

Jessica provides legal services through Jessica L. Fabbro Law Corporation.

  • Contango ORE, Inc. in connection with its merger of equals with Dolly Varden Silver Corporation to create a new North American high-grade mid-tier silver and gold producer and developer with a combined market capitalization of approximately US$812-million (C$1.1-billion)

  • TNC Capital Partners in their acquisition of David Aplin & Associates Inc.

  • Davis Pier on its sale to Kainos

  • MAG Silver Corp. in connection with its acquisition by Pan American for US$2.1-billion

  • Equinox Gold Corp. in connection with its acquisition of Calibre Mining Corp. for C$2.8-billion

  • Orla Mining Ltd. in connection with the acquisition of the Musselwhite Mine from Newmont Corporation for US$850-million

  • Filo Corp. in its C$4.5-billion acquisition by BHP and Lundin Mining Corporation

  • Bluestone Resources Inc. in connection with its acquisition by Aura Minerals

Capital Markets and Corporate Finance

  • Denison Mines Corp. in connection with its US$345-million offering of convertible senior notes and related capped call overlay transactions

  • The initial purchasers in connection with Vizsla Silver Corp.'s US$300-million offering of convertible senior notes and the capped call counterparties on the related capped call overlay transactions

  • The initial purchasers in connection with Hive Digital Technologies Ltd.’s US$115-million offering of exchangeable senior notes

  • The underwriters on the US$230-million convertible notes offering of First Majestic Silver Corp.

  • The dealer managers in connection with Thomson Reuters' US$1.8-billion exchange offer and related consent solicitations

  • Fortuna Mining Corp. in its US$172.5-million convertible senior notes offering

  • Various public companies in connection with brokered and non-brokered private placements of common shares, flow-through shares, units and warrants
