About Kelly

Kelly has a general corporate and commercial law practice with a focus on mergers and acquisitions, private equity, commercial transactions and other corporate law matters. She has assisted various clients in industries including oil and gas, energy services, agribusiness, franchise arrangements, technology, and hospitality. Kelly routinely assists clients on domestic and cross-border mergers and acquisitions, asset and share purchase transactions, private equity transactions, fund formations, corporate reorganizations and corporate structuring.

Her experience includes analyzing corporate agreements, conducting corporate due diligence and research, drafting corporate agreements and constating documents, as well as drafting definitive agreements and other transactional documents.

Prior to joining Blakes, Kelly practiced corporate law at another leading national law firm.

Over the course of her career, Kelly has worked on several transactions and matters, including:

ATCO and Canadian Utilities on the merger of equals between Emera and Canadian Utilities, the largest merger in Canadian history with a combined enterprise value of C$72-billion, and ATCO's related spinoff into a new publicly traded company
A private equity investment firm in its acquisition of a leading service provider specialized in providing industrial maintenance, turnaround and environmental services
A leading oil and gas company, in its purchase of all the outstanding shares of a production testing and oilfield services business in the United States
A private equity investment firm in its acquisition of a diverse service provider providing infrastructure, piling, foundation, environmental and civil services
A leading franchising company in its sale of the majority of its franchising business
