About Lindsay

Lindsay practises corporate and securities law, with a focus on mergers and acquisitions, capital markets transactions, private equity transactions and other corporate and securities law matters.

Lindsay has experience representing publicly-traded issuers, private issuers and underwriters on a broad range of matters and transactions, including domestic and cross-border M&A transactions, debt and equity securities offerings and general corporate and securities law matters. She also regularly assists clients with corporate governance and ESG matters, including compliance with continuous disclosure obligations and stock exchange policies.

  • TC Energy Corporation in its spinoff of its liquids pipelines business into South Bow Corporation, including its related C$7.9-billion notes offering (awarded Capital Markets Deal of the Year at the 2025 Canadian Law Awards)

  • Pembina Pipeline Corporation in connection with its MJDS public offering of subscription receipts for aggregate gross proceeds of approximately C$1.3-billion (awarded Capital Markets Deal of the Year at the 2024 Canadian Law Awards)

  • Enerplus Corporation on its US$11-billion combination with Chord Energy

  • Vitesse Energy Inc. in its US$222-million acquisition of Lucero Energy Corp.

  • Coril Holdings in its sale of Triovest Inc., a Canadian commercial real estate services platform, to Colliers

  • BluEarth Renewables Inc. in its disposition of its interest in the Bow Lake Wind Farm to Batchewana First Nation

  • Calgary Wild FC in respect of the formation of the Northern Super League, Canada’s first professional women’s soccer league

  • The underwriters in Veren Inc.’s offering of C$1-billion senior unsecured notes

  • Fortuna Mining Corp. in its US$150-million offering of convertible senior notes
