About Karam

Karam's practice focuses on advising clients on a variety of capital markets transactions, including financings, public offerings and private placements, as well as mergers and acquisitions. He also advises clients on corporate governance and securities regulatory matters, including the continuous disclosure obligations of public issuers.

Karam joined Blakes as a second-year summer student and subsequently articled with the Firm.

Mergers & Acquisitions, Private Equity and Venture Capital

  • Subversive Capital Acquisition Corp. (now TPCO Holding Corp.) on its acquisition of CMG Partners, Inc. (Caliva) and Left Coast Ventures, Inc. (LCV) and partnership with Shawn "Jay-Z" Carter and Roc Nation

  • Sycamore Partners on its acquisition of Lowe's Companies, Inc.'s Canadian retail business including Lowe's Canada and RONA stores

  • Cboe Global Markets, Inc. on its acquisition of Aequitas Innovations, Inc. (more commonly known as NEO)

  • The special committee of the board of directors of ICPEI Holdings Inc. on its acquisition by Desjardins General Insurance Group Inc., key members of management and certain other investors

  • Great Hill Partners in connection with its investment in Auvik Networks Inc.

  • Horizon Blockchain Games in connection with its Series A financing for US$40 million led by Brevan Howard Digital and Morgan Creek Digital

Capital Markets

  • ABC Technologies Holdings Inc. in connection with its initial public offering and listing on the TSX, pursuant to the secondary offering of its common shares by ABC Group Canada LP, an entity indirectly controlled, through one or more intermediate entities, by Cerberus Capital Management L.P., for total gross proceeds to ABC Group Canada LP of C$110-million

  • A Canadian financial institution in connection with public offerings of preferred shares and senior notes

  • Magnet Forensics Inc. in connection with its C$74-million secondary offering of subordinate voting shares

Professional Activities

Karam is actively involved as a volunteer with a variety of organizations that seek to provide support and assistance to those in need, including Pro Bono Ontario: Free Legal Advice Hotline, Ronald McDonald House Charities Canada and Aman Lara.
