About Casey

Casey's practice covers all areas of domestic and international income tax, with a focus on domestic and cross-border mergers and acquisitions, corporate reorganizations, private equity investments, public equity and debt financings, and the taxation of investment vehicles. Casey also has experience assisting clients with all stages of the tax appeals process.

Recent representative matters include advising:

  • Transamerica/Aegon on the C$600-million sale of its business in Canada to Wilton Re/CPPIB

  • CIT Financial on the sale of substantially all of its Canadian operations to Laurentian Bank for over C$1-billion

  • Just Eat PLC, the world's leading online takeaway order company, on its acquisition of SkipTheDishes Restaurant Services

  • Sprott Resource Corp. in connection with its business combination by way of plan of arrangement with Adriana Resources Inc.

  • RR Donnelley on the restructuring of its Canadian business in preparation for the spin-offs of its publishing and retail-centric print services and office products business and financial communications and data service business

  • Open Text Corporation on its acquisition of Dell EMC's Enterprise Content Division

  • Gauge Capital on its acquisition of eDynamic Learning

  • The underwriters in connection with numerous offerings by Canadian issuers of high-yield notes (including offerings by DHX Media, Brookfield Residential Properties, MEG Energy Corp., Valeant Pharmaceuticals, and Teck Resources)

  • The underwriters in connection with various equity offerings (including offerings by Shopfiy Inc. and Primero Mining Corp.)

  • CIT Group Securities (Canada) Inc. on its successful appeal to the Tax Court of Canada: CIT Group Securities (Canada) Inc. v. The Queen, 2016 TCC 163
